CapitalBox provides Udyam Migration facilitation services — assistance for enterprises holding an older Udyog Aadhaar Memorandum (UAM) or Entrepreneurs Memorandum (EM-II) in migrating their record to the current Udyam Registration Portal (udyamregistration.gov.in), as required under the Government's MSME classification framework.
CapitalBox Service Fee
₹1,499
Fixed fee for migration of one existing UAM/EM-II record to Udyam Registration
Government Portal Fee
₹0
Udyam Registration Portal (udyamregistration.gov.in) charges no fee for this process
CapitalBox acts as a business consultancy and documentation facilitator for the purpose of migrating an enterprise's older Udyog Aadhaar Memorandum (UAM) or EM-II registration to Udyam Registration. CapitalBox is not a Government authority or the Ministry of MSME, and does not itself approve or process the migration beyond submitting it on the applicant's behalf.
The role of CapitalBox is limited to retrieving the enterprise's earlier registration details, aligning them with the documentation and classification requirements of the current Udyam Registration Portal, and submitting the migration request. CapitalBox will confirm the current Government timeline and requirements applicable to migration at the time of engagement, as these are periodically updated by the Ministry of MSME.
2CapitalBox Service Fee
The service fee of ₹1,499 is CapitalBox's fixed professional fee for migration of one existing Udyog Aadhaar Memorandum (UAM) or EM-II record to Udyam Registration. This fee is paid to CapitalBox for facilitation and hand-holding only — it is separate from, and has no bearing on, the Udyam Registration Portal itself, which does not charge any government fee for this service.
The fee covers:
Retrieval of the existing Udyog Aadhaar Memorandum (UAM) or EM-II number and details on record
Mapping of the enterprise's earlier registration data to the current Udyam classification requirements
Linking of Aadhaar, PAN and GSTIN (where applicable) as required by the current Udyam framework
Submission of the migration request on the Udyam Registration Portal
Delivery of the new Udyam Registration Certificate once generated by the system
Udyam Registration, amendment, certificate retrieval and migration are all free of cost when done directly by the enterprise on udyamregistration.gov.in. CapitalBox's fee is solely for the consultancy, documentation and hand-holding support described above.
3Government Portal Fee
The Udyam Registration Portal, operated by the Ministry of Micro, Small and Medium Enterprises (MSME), Government of India, does not charge any fee for registration, amendment, certificate download, or migration from Udyog Aadhaar Memorandum (UAM). There is no government filing fee applicable to this service.
If any third party or website asks for a government fee for Udyam-related work, treat it with caution — the official portal is free. CapitalBox charges only the consultancy fee disclosed in Section 2 above, and does not collect any separate "government fee" on behalf of the Ministry of MSME.
4Refund & Cancellation
The CapitalBox service fee is non-refundable once assessment of the enterprise's details or preparation of the application/request has commenced, as it represents the cost of professional work already rendered, irrespective of the final outcome on the Udyam portal.
If a customer wishes to cancel before any work has begun, they may request cancellation in writing; any refund in such cases, if applicable, shall be at the sole discretion of CapitalBox.
5Important Information
CapitalBox is an independent business consultancy and documentation facilitator and is not the Ministry of MSME, the Udyam Registration Portal, or any Government authority. Enterprises still holding only a UAM/EM-II registration are encouraged to check the current requirement and timeline for migrating to Udyam Registration, as Government notifications on this have been updated from time to time; CapitalBox will confirm the applicable position before starting work.
Udyam Registration and related services are available free of cost directly on udyamregistration.gov.in. Engaging CapitalBox is entirely optional and is meant for customers who want assistance with classification, documentation, and end-to-end handling of the process.
6Customer Responsibilities
The customer is responsible for providing accurate details of the enterprise, including PAN, Aadhaar of the proprietor/partner/authorised signatory, investment in plant & machinery or equipment, annual turnover, business activity, and bank details. CapitalBox relies on the information provided by the customer and is not responsible for any delay, discrepancy, or rejection arising from incomplete, incorrect, or misleading information supplied by the customer.
The customer is also responsible for ensuring that the Aadhaar number used is linked to a valid mobile number for OTP verification, as this is mandated by the Udyam Registration Portal and cannot be bypassed by CapitalBox.
7Data & Privacy
Personal and business information shared by the customer, including Aadhaar, PAN and financial details, will be used by CapitalBox solely for the purpose of the specific Udyam-related service requested, and may be entered on the Udyam Registration Portal as necessary to complete the process. CapitalBox takes reasonable measures to protect customer data in accordance with applicable law, including the Digital Personal Data Protection Act, 2023, and does not store Aadhaar OTPs.
8Limitation of Liability
CapitalBox shall not be liable for any loss, damage, or claim arising from a rejection, discrepancy flag, delay, or technical error on the Udyam Registration Portal, or from any act or omission of the Ministry of MSME or its systems. CapitalBox's liability, where applicable, shall in no event exceed the amount of the service fee actually paid by the customer for the specific service in question.
9Service Commitment
CapitalBox commits to the following standards while assisting customers with Udyam-related services:
The service fee and the fact that the government portal itself is free are disclosed upfront, in writing, before any payment is taken
No customer is misled into believing that a government fee is payable for Udyam Registration, amendment, certificate download, or migration
Customer information, including Aadhaar and PAN, is used only for the purpose of the specific service requested and is not sold, shared, or disclosed for unrelated purposes
Genuine complaints are acknowledged and addressed within a reasonable and communicated timeframe
Communication with customers is conducted in clear, simple language, avoiding misleading claims about processing timelines
10Grievance Redressal
In case of any concern, complaint, or dispute relating to the services rendered by CapitalBox, customers may raise the matter through the official contact channels provided by CapitalBox. CapitalBox will endeavour to acknowledge and address genuine grievances within a reasonable timeframe.
11Legal Compliance & Governing Law
Services are provided under, and this document is governed by, applicable Indian laws. The relevance of each law to CapitalBox's Udyam facilitation services is explained below:
MSME Development Act, 2006
Governs the classification and registration of Micro, Small and Medium Enterprises in India. Udyam Registration is notified under Section 8 of this Act, and CapitalBox's assistance is carried out with direct reference to the classification criteria (investment in plant & machinery/equipment and annual turnover) set out under this Act.
Governs the contractual relationship between CapitalBox and the customer. It applies because the moment a customer pays the service fee and agrees to these terms, a valid contract is formed — this Act defines how that agreement is made, what makes it enforceable, and what happens if either party fails to honour its obligations.
Applies because the customer is availing a paid facilitation service from CapitalBox, making them a "consumer" under law. This Act protects customers against unfair trade practices and deficiency in service, and gives them the right to approach a Consumer Forum if the service is not delivered as promised.
Applies because the entire process — Aadhaar OTP verification, application submission, and communication — happens electronically through the Udyam Registration Portal. This Act gives legal recognition to electronic records and online transactions.
Applies because CapitalBox collects and processes sensitive personal data (Aadhaar, PAN) of the applicant for the purpose of the Udyam-related service. This Act regulates how such personal data must be collected, used, stored, and protected, and requires CapitalBox to obtain consent and safeguard the data against misuse.
Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts at the location of CapitalBox's registered place of business.
12Amendments to These Terms
CapitalBox reserves the right to update or modify these terms, fees, or the scope of services at any time, including in response to changes in the Udyam Registration Portal's process or the Ministry of MSME's notifications. Any material changes will be communicated through the website or other official channels, and continued use of the services after such changes constitutes acceptance of the updated terms.
13Customer Acknowledgement
By applying for services, the customer confirms that they have read and understood these terms, agrees to the applicable service fee set out above, confirms that the enterprise details they provide are accurate, and authorizes CapitalBox to prepare and submit the request on the Udyam Registration Portal on their behalf.
