CapitalBox acts as a consultancy and facilitation service to assist individuals in registering and setting up a Sole Proprietorship business in India. CapitalBox is not a Government authority, and does not itself grant, issue, or approve any registration, licence, or certificate.
The role of CapitalBox is limited to preparing and organising the required documentation, filing the applicable registrations — including Udyam (MSME) Registration and Shop & Establishment Licence — on the customer's behalf, and coordinating with the relevant Government department or municipal authority until the registration is completed. Engaging CapitalBox's services does not guarantee a specific processing timeline, as this depends on Government systems and verification.
2Registration Service Fee
The Registration Service Fee of ₹4,000 + GST is payable at the time the customer initiates the proprietorship registration process, before filing commences. This is a one-time, all-inclusive fee that covers both CapitalBox's professional consultancy charges and the statutory Government filing charges for Udyam (MSME) Registration and Shop & Establishment Licence.
This fee is all-inclusive of the standard Government charges for Udyam and Shop & Establishment filing. There are no separate Government charges to pay for these two registrations. FSSAI registration, where applicable to food businesses, is not part of this package and is charged separately, since it is an additional registration outside the standard proprietorship scope.
3What the Fee Covers
The Registration Service Fee specifically covers:
Document collection and verification, including review of PAN, Aadhaar, address proof and bank details
Udyam (MSME) Registration, filed online using Aadhaar-based OTP authentication, including the Government filing charge
Shop & Establishment Licence application, filed with the local municipal authority based on business location and state rules, including the Government filing charge
Document formatting, notarization coordination and related paperwork
Post-registration support, including guidance on opening a current bank account and basic compliance queries
4Refund & Cancellation
The Registration Service Fee is non-refundable once the engagement has been initiated and document preparation or filing has commenced, as it represents the cost of services already rendered by CapitalBox.
If a customer wishes to withdraw before any filing has been submitted to a Government authority, they may request cancellation in writing; any refund in such cases, if applicable, shall be at the sole discretion of CapitalBox and may be subject to a deduction towards work already performed.
5Important Information
CapitalBox is a registration facilitation and consultancy service provider and does not itself issue any Government registration, licence, or certificate. All approvals rest exclusively with the concerned Government department, Udyam portal, or municipal/local authority to which the application is submitted.
Final approval, registration number allotment, and processing timeline are determined solely by the respective Government authority, based on their own internal verification process. CapitalBox has no control over, and makes no assurance regarding, exact processing dates, though typical timelines are shared for guidance (Udyam is generally same-day; Shop & Establishment Licence typically takes 5–10 working days, varying by state).
Customers are advised to independently verify the registration certificate and details issued by the Government authority once received.
6Customer Responsibilities
The customer is responsible for providing accurate, complete and truthful information and documentation for the purpose of registration, including PAN, Aadhaar, address proof and bank details. CapitalBox relies on the information provided by the customer and is not responsible for any delay, rejection, or discrepancy arising from incomplete, incorrect, or misleading information or documents furnished by the customer.
The customer is also responsible for reviewing the registration certificate(s) issued by the Government authority once received, and promptly informing CapitalBox of any discrepancy for correction.
7Data & Privacy
Personal and business information shared by the customer will be used by CapitalBox solely for the purpose of processing the proprietorship registration request and may be submitted to relevant Government portals (such as the Udyam portal) and municipal authorities as necessary to complete the registration. CapitalBox takes reasonable measures to protect customer data in accordance with applicable law, including the Digital Personal Data Protection Act, 2023.
8Limitation of Liability
CapitalBox shall not be liable for any loss, damage, or claim arising from delay in Government processing, rejection of an application due to incorrect information supplied by the customer, changes in Government policy or fee structure, or any act or omission of the Government authority or municipal body. CapitalBox's liability, where applicable, shall in no event exceed the amount of fees actually paid by the customer to CapitalBox for the specific service in question.
9Fair Practices Code
CapitalBox commits to the following standards while assisting customers with proprietorship registration:
All fees, charges and the basis of calculation are disclosed upfront, in writing, before the customer makes any payment
No customer is misled about the mandatory or optional nature of any registration, or about approval timelines
Customer information is used only for the purpose of registration facilitation and is not sold or shared for unrelated marketing purposes
Genuine complaints are acknowledged and addressed within a reasonable and communicated timeframe
Communication with customers is conducted in clear, simple language, avoiding misleading claims about processing speed or registration benefits
This Code reflects CapitalBox's own service commitment as a facilitator. It does not substitute any statutory obligation that a Government department or authority is independently required to follow.
10Grievance Redressal
In case of any concern, complaint, or dispute relating to the services rendered by CapitalBox, customers may raise the matter through the official contact channels provided by CapitalBox. CapitalBox will endeavour to acknowledge and address genuine grievances within a reasonable timeframe.
11Legal Compliance & Governing Law
Services are provided under, and this document is governed by, applicable Indian laws. The relevance of each law to CapitalBox's proprietorship registration facilitation services is explained below:
Indian Contract Act, 1872
Governs the contractual relationship between CapitalBox and the customer. It applies because the moment a customer pays the Registration Service Fee and agrees to these terms, a valid contract is formed — this Act defines how that agreement is made, what makes it enforceable, and what happens if either party fails to honour its obligations (breach of contract).
Applies because the customer is availing a paid service (registration facilitation) from CapitalBox, making them a "consumer" under law. This Act protects customers against unfair trade practices, misleading claims about services, and deficiency in service, and gives them the right to approach a Consumer Forum if the facilitation service is not delivered as promised.
Applies because the entire registration process — document upload, Aadhaar-based OTP authentication, online filing on the Udyam portal, digital communication, and online fee payment — happens electronically. This Act gives legal recognition to electronic records, digital signatures, and online transactions, and governs matters like data security, unauthorized access, and electronic contract validity.
Applies because CapitalBox collects and processes sensitive personal data of the customer (PAN, Aadhaar, address proof, bank details) for filing with Government portals and authorities. This Act regulates how such personal data must be collected, used, stored, and protected, and requires CapitalBox to obtain consent and safeguard the data against misuse.
Micro, Small and Medium Enterprises Development Act, 2006
Applies directly because Udyam Registration — a core part of this service — is granted under this Act's framework for classifying and registering micro, small and medium enterprises. This Act is why Udyam registration exists, and it governs the benefits (collateral-free loans, priority lending, delayed payment protection, tender access) that flow from holding a valid Udyam certificate.
Applies because the Shop & Establishment Licence — the second core registration in this package — is granted under the respective State Government's Shops and Establishments Act (each state has its own version, e.g. Gujarat, Maharashtra, Delhi). This Act regulates working conditions, business hours, and registration requirements for commercial establishments, and is why this licence is state-specific with varying validity and renewal rules.
Applies where the proprietorship's turnover crosses the prescribed threshold, or where GST registration is otherwise required or voluntarily obtained for the business. This Act governs GST registration, invoicing, and return-filing obligations that a proprietorship must follow once registered under GST.
Applies because, in a Sole Proprietorship, the business and the owner are treated as the same legal person for tax purposes — business income is reported in the proprietor's personal income tax return. This Act governs how that income is computed, taxed, and filed, and is why a valid PAN is mandatory for registration.
Applies only where the proprietorship deals in food products, in which case FSSAI registration or licensing becomes mandatory in addition to Udyam and Shop & Establishment. This Act governs food business licensing, standards, and safety compliance; it is why FSSAI is billed separately from the standard proprietorship package.
Applies because collecting KYC documents (PAN, Aadhaar, address proof) as part of registration and subsequent bank account opening is a legal requirement under India's anti-money-laundering framework. This Act is why identity verification is mandatory before filing and before a current account can be opened in the proprietorship's name.
Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts at the location of CapitalBox's registered place of business.
12Amendments to These Terms
CapitalBox reserves the right to update or modify these terms, fees, or the scope of services at any time, including in response to changes in Government fee structures or filing requirements. Any material changes will be communicated through the website or other official channels, and continued use of the services after such changes constitutes acceptance of the updated terms.
13Customer Acknowledgement
By applying for services, the customer confirms that they have read and understood these terms, agrees to the applicable fees, terms and conditions set out above, and authorizes CapitalBox to prepare, file, and coordinate the proprietorship registration process on their behalf.
