Government charges — including MCA/ROC filing fees, stamp duty, and PAN/TAN issuance charges — and document charges — including DSC, DIN, and notarization costs — are not included in the ₹12,800 + GST fee. These are charged separately and will vary depending on the proposed authorised capital, the number of directors, the state of incorporation, and the customer's specific requirements. CapitalBox will communicate these charges in writing before they are incurred.
3What the Fee Covers
The CapitalBox Service Fee specifically covers:
Document collection, review and KYC verification of all directors and shareholders
Proposed company name reservation filing through the MCA's RUN service
Coordination for Digital Signature Certificate (DSC) and Director Identification Number (DIN) generation for all directors
Preparation and filing of the SPICe+ incorporation form, along with drafting of the Memorandum of Association (MOA) and Articles of Association (AOA)
Coordination of integrated allotments — PAN, TAN, GST registration, EPFO and ESIC, where applicable
Post-incorporation support, including guidance on Udyam Registration, Startup India recognition, and opening a company bank account

4Refund & Cancellation
The CapitalBox Service Fee is non-refundable once the engagement has been initiated and document preparation or filing has commenced, as it represents the cost of consultancy and facilitation work already rendered by CapitalBox.
If a customer wishes to withdraw before any filing has been submitted to the MCA, they may request cancellation in writing; any refund in such cases, if applicable, shall be at the sole discretion of CapitalBox and may be subject to a deduction towards work already performed. Government charges and third-party charges (DSC, stamp duty, etc.) already paid or incurred on the customer's behalf are non-refundable once submitted to the respective authority or vendor.

CapitalBox is a registration facilitation and consultancy service provider and does not itself issue any incorporation certificate, DIN, DSC, PAN, or TAN. The customer is also responsible for reviewing the Certificate of Incorporation and other documents issued by the MCA once received, and promptly informing CapitalBox of any discrepancy for correction.
9Data & Privacy
Personal and business information shared by the customer and all directors/shareholders will be used by CapitalBox solely for the purpose of processing the Private Limited Company registration request and may be submitted to relevant Government portals (such as the MCA portal) as necessary to complete incorporation. CapitalBox takes reasonable measures to protect customer data in accordance with applicable law, including the Digital Personal Data Protection Act, 2023.
10Limitation of Liability
CapitalBox shall not be liable for any loss, damage, or claim arising from delay in MCA processing, rejection or resubmission of an application due to incorrect information supplied by the customer, non-availability of the proposed company name, changes in Government policy or fee structure, or any act or omission of the MCA, ROC, or any other Government authority. CapitalBox's liability, where applicable, shall in no event exceed the amount of the CapitalBox Service Fee actually paid by the customer for the specific service in question. CapitalBox reserves the right to update or modify these terms, fees, or the scope of services at any time, including in response to changes in MCA fee structures or filing requirements. Any material changes will be communicated through the website or other official channels, and continued use of the services after such changes constitutes acceptance of the updated terms.
15Customer Acknowledgement
By applying for services, the customer confirms that they have read and understood these terms, agrees to the CapitalBox Service Fee and the separately applicable Government and document charges described above, and authorizes CapitalBox to prepare, file, and coordinate the Private Limited Company registration process on their behalf, including on behalf of the other directors and shareholders to the extent required for filing.

This Act is why identity verification of every director and shareholder is mandatory before filing and before a company bank account can be opened.
Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts at the location of CapitalBox's registered place of business (Surat, Gujarat).
14Amendments to These Terms
CapitalBox reserves the right to update or modify these terms, fees, or the scope of services at any time, including in response to changes in MCA fee structures or filing requirements. Any material changes will be communicated through the website or other official channels, and continued use of the services after such changes constitutes acceptance of the updated terms.
15Customer Acknowledgement
By applying for services, the customer confirms that they have read and understood these terms, agrees to the CapitalBox Service Fee and the separately applicable Government and document charges described above, and authorizes CapitalBox to prepare, file, and coordinate the Private Limited Company registration process on their behalf, including on behalf of the other directors and shareholders to the extent required for filing.

No. ₹12,800 is CapitalBox's fixed service fee, exclusive of GST. Government charges (MCA filing, stamp duty, PAN/TAN) and document charges (DSC, DIN, notarization) apply separately based on your capital and state, and are communicated in writing before being incurred.
A minimum of two directors and two shareholders are required, and the same individuals can hold both roles, provided at least one director is a resident of India (having stayed in the country for 182+ days in the preceding financial year).
No. The fee covers the facilitation work already carried out — document preparation, review and filing — and is non-refundable once processing has begun. If you cancel before any filing is submitted, a refund may be considered at CapitalBox's discretion, subject to deduction for work already done. Government and third-party charges already incurred are non-refundable.
Once documents are ready and name approval is secured, incorporation via SPICe+ typically moves quickly, subject to MCA processing timelines, which CapitalBox does not control.
