CapitalBox provides consultancy and complete assistance for Partnership Firm Registration, helping entrepreneurs establish a business with two or more partners. A Partnership Firm is a simple and cost-effective business structure that allows partners to jointly own, manage, and operate a business while sharing profits and responsibilities as per the partnership agreement.
Our team assists with partnership deed preparation, documentation support, firm registration guidance, PAN application assistance, and other related compliance requirements. We help ensure that the registration process is completed accurately and efficiently.
Partnership Firm registration is subject to applicable legal and regulatory requirements. CapitalBox provides consultancy and facilitation services only and does not guarantee registration approval or any specific business outcome. Government fees, statutory charges, and third-party costs may apply separately.
CapitalBox provides Partnership Firm Registration & Documentation Facilitation Services to assist customers with partnership deed preparation, documentation support, PAN application assistance, and coordination with the Registrar of Firms and other relevant authorities.
Registration Consultancy Fee
₹8,000
One-time, tax excluded, payable at the start of engagement
CapitalBox acts solely as a consultancy and facilitator for customers seeking to register a Partnership Firm in India. CapitalBox is not the Registrar of Firms, a government authority, or any statutory body, and does not itself grant registration, allot a PAN, or issue any government certificate.
The role of CapitalBox is limited to assisting the customer with partnership deed drafting support, organising and reviewing the required documentation, coordinating the application with the relevant Registrar of Firms/government portal, and assisting with related steps such as PAN application. Engaging CapitalBox's services does not guarantee that registration will be granted, or the timeline within which it will be completed, as this rests with the concerned government authority.
2Registration Consultancy Fee
The consultancy fee of ₹8,000 (tax excluded) is payable at the time the customer engages CapitalBox for Partnership Firm registration facilitation, before the deed is drafted and the application is prepared for filing. This is a one-time professional fee that covers the work undertaken by CapitalBox regardless of the eventual timeline or outcome of the registration process with the concerned authority.
The fee specifically covers:
Requirement assessment, to understand the proposed partnership structure, profit-sharing ratio and business activity
Partnership deed preparation support, including drafting assistance and review of key clauses
Document guidance, including a checklist and review of partner KYC and business documents
Registration application assistance, including formatting and filing support with the Registrar of Firms, where applicable
PAN application assistance for the partnership firm
Coordination support between the partners and the relevant government office during processing
The consultancy fee is charged for the facilitation and documentation effort itself and is payable irrespective of the time taken by, or the final outcome from, the Registrar of Firms or other government authority.
3Government & Statutory Charges
In addition to the consultancy fee, certain government and statutory charges — such as stamp duty on the partnership deed, Registrar of Firms filing fees, notary charges, and PAN/GST application fees — may apply depending on the state and the specifics of the partnership. These charges are fixed by the respective government authority and are not retained by CapitalBox.
Government and statutory charges are collected at actuals and are separate from, and in addition to, the CapitalBox consultancy fee. These amounts vary by state and are communicated to the customer before payment is collected.
4Refund & Cancellation
The Registration Consultancy Fee is non-refundable once the engagement has commenced and drafting/documentation work has begun, as it represents the cost of professional services already rendered by CapitalBox, irrespective of the final registration outcome or timeline at the Registrar's office.
If a customer wishes to withdraw before the deed has been drafted or any documentation work has commenced, they may request cancellation in writing; any refund in such cases, if applicable, shall be at the sole discretion of CapitalBox and may be subject to a deduction towards work already performed. Government and statutory charges already paid to the relevant authority are non-refundable by CapitalBox in any circumstance.
5Important Information
CapitalBox is a registration consultancy and facilitation service provider and does not itself register any partnership firm. All registration decisions, timelines, and requirements rest exclusively with the Registrar of Firms and other applicable government authorities.
Final acceptance of the partnership deed, registration certificate issuance, PAN allotment, and any related statutory approvals are granted solely by the respective government authority, based on their own internal processes and verification. CapitalBox has no control over, and makes no assurance regarding, these timelines or outcomes.
Customers are advised to independently review the partnership deed and all filed documents before signing or submitting them.
6Customer Responsibilities
The customers (partners) are responsible for providing accurate, complete and truthful information and documentation for the purpose of drafting the partnership deed and filing the registration application. CapitalBox relies on the information provided by the partners and is not responsible for any delay, rejection, or adverse outcome arising from incomplete, incorrect, or misleading information or documents furnished by the customer.
The customer is also responsible for reviewing and understanding the partnership deed and any terms agreed among partners before signing, as CapitalBox's role is limited to facilitation and drafting support and does not extend to advising on the commercial terms agreed between partners.
7Data & Privacy
Personal, business and financial information shared by the customer will be used by CapitalBox solely for the purpose of drafting the partnership deed and processing the registration facilitation request, and may be shared with the Registrar of Firms and other relevant government authorities as necessary. CapitalBox takes reasonable measures to protect customer data in accordance with applicable law, including the Digital Personal Data Protection Act, 2023.
8Limitation of Liability
CapitalBox shall not be liable for any loss, damage, or claim arising from delay or rejection of the registration application, changes in government policy or filing requirements, or any act or omission of the Registrar of Firms or other government authority. CapitalBox's liability, where applicable, shall in no event exceed the amount of consultancy fees actually paid by the customer to CapitalBox for the specific service in question.
9Fair Practices Code
CapitalBox commits to the following standards while assisting customers with Partnership Firm registration:
All fees, charges and the basis of calculation, including any separate government/statutory charges, are disclosed upfront, in writing, before the customer makes any payment
No customer is pressured or misled about registration timelines, approval likelihood, or the scope of CapitalBox's role
Customer information is used only for the purpose of registration facilitation and is not sold or shared for unrelated marketing purposes
Genuine complaints are acknowledged and addressed within a reasonable and communicated timeframe
Communication with customers is conducted in clear, simple language, avoiding misleading claims about approval timelines or outcomes
This Code reflects CapitalBox's own service commitment as a consultancy and facilitator. It does not substitute any statutory obligation of the Registrar of Firms or other government authority.
10Grievance Redressal
In case of any concern, complaint, or dispute relating to the services rendered by CapitalBox, customers may raise the matter through the official contact channels provided by CapitalBox. CapitalBox will endeavour to acknowledge and address genuine grievances within a reasonable timeframe.
11Legal Compliance & Governing Law
Services are provided under, and this document is governed by, applicable Indian laws. The relevance of each law to CapitalBox's Partnership Firm registration facilitation services is explained below:
Indian Partnership Act, 1932
This is the primary law governing the formation, rights, duties and registration of a Partnership Firm in India. It applies because the entire purpose of this engagement is to help the partners draft a valid partnership deed and, if the partners choose, register the firm with the Registrar of Firms under this Act.
Governs the contractual relationship both between the partners themselves (a partnership deed is fundamentally a contract) and between CapitalBox and the customer. It applies because the moment a customer pays the consultancy fee and agrees to these terms, a valid contract is formed — this Act defines how such agreements are made, what makes them enforceable, and what happens on breach.
Applies where the partnership deed is required to be registered/notarised, since this Act governs the registration of documents in India, including provisions relevant to stamping and registration of instruments such as a partnership deed.
Applies because a registered or unregistered partnership firm is required to obtain a PAN and is taxed as a distinct assessee under this Act. CapitalBox's assistance with PAN application for the firm is undertaken in line with the requirements of this Act.
Applies because the customer is availing a paid consultancy service (registration facilitation) from CapitalBox, making them a "consumer" under law. This Act protects customers against unfair trade practices, misleading claims about timelines, and deficiency in service, and gives them the right to approach a Consumer Forum if the service is not delivered as promised.
Applies because the entire process — document upload, digital communication, online filing with the government portal, and online fee payment — happens electronically. This Act gives legal recognition to electronic records, digital signatures, and online transactions, and governs matters like data security and electronic contract validity.
Applies because CapitalBox collects and processes sensitive personal data of each partner (PAN, Aadhaar, address proof, photographs) for the purpose of drafting the deed and filing with government authorities. This Act regulates how such personal data must be collected, used, stored, and protected, and requires CapitalBox to obtain consent and safeguard the data against misuse.
Applies where the newly formed partnership firm is required to obtain GST registration based on its turnover or nature of business. CapitalBox may assist with GST registration facilitation as a related service, which is undertaken in line with this Act.
Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts at the location of CapitalBox's registered place of business.
12Amendments to These Terms
CapitalBox reserves the right to update or modify these terms, fees, or the scope of services at any time. Any material changes will be communicated through the website or other official channels, and continued use of the services after such changes constitutes acceptance of the updated terms.
13Customer Acknowledgement
By applying for services, the customer confirms that they have read and understood these terms, agrees to the applicable fees, terms and conditions set out above, and authorizes CapitalBox to assist with, and coordinate, the Partnership Firm registration process on their behalf.
