2CapitalBox Service Fee
The CapitalBox Service Fee of ₹10,000 + GST is a fixed consultancy fee, payable at the time the customer initiates the OPC registration process, before filing commences. This fee covers CapitalBox's professional consultancy, compliance facilitation, and documentation support only.
Unlike a bundled package, Government charges — including MCA/ROC filing fees, stamp duty, PAN/TAN issuance charges, DSC and DIN generation charges, and other statutory levies — are not included in the ₹10,000 + GST fee. These are charged separately and will vary depending on the proposed authorised capital, the state of incorporation, and the shareholder's specific requirements. CapitalBox will communicate these charges in writing before they are incurred.
3What the Fee Covers
The CapitalBox Service Fee specifically covers:
Document collection, review and KYC verification of the sole shareholder and nominee
Proposed company name reservation filing through the MCA portal
Coordination for Digital Signature Certificate (DSC) and Director Identification Number (DIN) generation
Preparation and filing of the SPICe+ incorporation form, along with drafting of the Memorandum of Association (MOA) and Articles of Association (AOA)
Coordination of auto-integrated allotments — PAN, TAN, GST registration, EPFO and ESIC, where applicable
Post-incorporation support, including guidance on Udyam Registration, Startup India recognition, and opening a company bank account
Government charges, stamp duty, PAN/TAN issuance fees, DSC/DIN charges, and notarization costs are billed separately and are not part of this consultancy fee. See Section 2 above.
4Refund & Cancellation
The CapitalBox Service Fee is non-refundable once the engagement has been initiated and document preparation or filing has commenced, as it represents the cost of consultancy and facilitation work already rendered by CapitalBox.
If a customer wishes to withdraw before any filing has been submitted to the MCA, they may request cancellation in writing; any refund in such cases, if applicable, shall be at the sole discretion of CapitalBox and may be subject to a deduction towards work already performed. Government charges and third-party charges (DSC, stamp duty, etc.) already paid or incurred on the customer's behalf are non-refundable once submitted to the respective authority or vendor.
5Important Information
CapitalBox is a registration facilitation and consultancy service provider and does not itself issue any incorporation certificate, DIN, DSC, PAN, or TAN. All approvals rest exclusively with the Ministry of Corporate Affairs (MCA), the Registrar of Companies (ROC), the Income Tax Department, or the respective issuing authority.
Final name approval, incorporation, and processing timeline are determined solely by the MCA/ROC based on their own internal verification process, including name availability and document scrutiny. 6Eligibility Requirements
To register a One Person Company, the following eligibility conditions, as prescribed under the Companies Act, 2013, must be met:

8Customer Responsibilities

CapitalBox relies on the information provided by the customer and is not responsible for any delay, rejection, name resubmission, or discrepancy arising from incomplete, incorrect, or misleading information or documents furnished by the customer.
The customer is also responsible for reviewing the Certificate of Incorporation and other documents issued by the MCA once received, and promptly informing CapitalBox of any discrepancy for correction.
9Data & Privacy
Personal and business information shared by the customer and the nominee will be used by CapitalBox solely for the purpose of processing the OPC registration request and may be submitted to relevant Government portals (such as the MCA portal) as necessary to complete incorporation. CapitalBox takes reasonable measures to protect customer data in accordance with applicable law, including the Digital Personal Data Protection Act, 2023.
10Limitation of Liability
CapitalBox shall not be liable for any loss, damage, or claim arising from delay in MCA processing, rejection or resubmission of an application due to incorrect information supplied by the customer, non-availability of the proposed company name, changes in Government policy or fee structure, or any act or omission of the MCA, ROC, or any other Government authority. CapitalBox's liability, where applicable, shall in no event exceed the amount of the CapitalBox Service Fee actually paid by the customer for the specific service in question.

Governs the contractual relationship between CapitalBox and the customer. It applies because the moment a customer pays the CapitalBox Service Fee and agrees to these terms, a valid contract is formed — this Act defines how that agreement is made, what makes it enforceable, and what happens if either party fails to honour its obligations (breach of contract).
Applies because the customer is availing a paid service (registration facilitation) from CapitalBox, making them a "consumer" under law. This Act protects customers against unfair trade practices, misleading claims about services, and deficiency in service, and gives them the right to approach a Consumer Forum if the facilitation service is not delivered as promised.
Applies because the entire registration process — document upload, Digital Signature Certificate (DSC) issuance, SPICe+ filing on the MCA portal, digital communication, and online fee payment — happens electronically. This Act gives legal recognition to electronic records, digital signatures, and online transactions, and governs matters like data security, unauthorized access, and electronic contract validity.

This Act is why identity verification of both the shareholder and nominee is mandatory before filing and before a company bank account can be opened.
Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts at the location of CapitalBox's registered place of business (Surat, Gujarat).
14Amendments to These Terms
CapitalBox reserves the right to update or modify these terms, fees, or the scope of services at any time, including in response to changes in MCA fee structures or filing requirements. Any material changes will be communicated through the website or other official channels, and continued use of the services after such changes constitutes acceptance of the updated terms.
15Customer Acknowledgement
By applying for services, the customer confirms that they have read and understood these terms, agrees to the CapitalBox Service Fee and the separately applicable Government and document charges described above, and authorizes CapitalBox to prepare, file, and coordinate the OPC registration process on their behalf, including on behalf of the nominated individual to the extent required for filing.

By applying for services, the customer confirms that they have read and understood these terms, agrees to the CapitalBox Service Fee and the separately applicable Government and document charges described above, and authorizes CapitalBox to prepare, file, and coordinate the OPC registration process on their behalf, including on behalf of the nominated individual to the extent required for filing.

No. CapitalBox is a registration facilitation and consultancy service. It helps customers prepare and file their OPC incorporation, but the actual Certificate of Incorporation is issued by the Ministry of Corporate Affairs (MCA) — not by CapitalBox.
Only a natural person who is an Indian resident can be the sole shareholder of a One Person Company. The shareholder must also nominate another individual as nominee at the time of incorporation.
No. CapitalBox charges a fixed consultancy fee of ₹10,000 + GST. Government charges such as MCA filing, stamp duty, PAN/TAN issuance, and DSC/DIN generation charges are applicable separately, based on your specific requirements, and are communicated in writing before being incurred.
No. The fee covers the facilitation work already carried out — document preparation, review and filing — and is non-refundable once processing has begun. If you cancel before any filing is submitted, a refund may be considered at CapitalBox's discretion, subject to deduction for work already done. Government and third-party charges already incurred are non-refundable.
OPC registration typically takes 7–10 working days, depending on document submission speed, name availability, and MCA processing timelines.
The nominee assumes ownership of the company in the event of the death or incapacity of the sole member, ensuring perpetual succession of the business.
Information provided by the shareholder and nominee is used only to process the registration request and is submitted to relevant Government portals as needed for filing. It is handled in line with the Digital Personal Data Protection Act, 2023.
