LLP Registration Terms

CapitalBox provides Limited Liability Partnership (LLP) Registration & Compliance Facilitation Services to assist customers with name reservation, DSC & DIN, FiLLiP filing, Certificate of Incorporation, and LLP Agreement drafting.

1Nature of Service

CapitalBox acts solely as a consultancy and facilitator for customers seeking to register a Limited Liability Partnership (LLP) in India. CapitalBox is not the Ministry of Corporate Affairs (MCA), the Registrar of Companies (RoC), or any statutory body, and does not itself grant incorporation, allot a PAN/TAN, or issue any government certificate.

The role of CapitalBox is limited to assisting the customer with Digital Signature Certificate (DSC) coordination, name reservation and FiLLiP filing support, drafting assistance for the LLP Agreement, and coordinating the application with the MCA portal. Engaging CapitalBox's services does not guarantee that incorporation will be granted, or the timeline within which it will be completed, as this rests with the MCA.

2Consultancy Fee

The fixed consultancy fee of ₹10,000 plus applicable GST is payable at the time the customer engages CapitalBox for LLP registration facilitation, before filing is initiated with the MCA. This is a one-time professional fee that covers the work undertaken by CapitalBox regardless of the eventual timeline or outcome of the registration process with the concerned authority.

The fee specifically covers:

  • Requirement assessment, to understand the proposed LLP structure, designated partners and business activity
  • Coordination for Digital Signature Certificates (DSC) of designated partners
  • Name reservation and FiLLiP (incorporation) filing assistance on the MCA portal
  • LLP Agreement drafting support, for filing as Form 3 after incorporation
  • Document guidance, including a checklist and review of partner KYC and registered office documents
  • Coordination support between the partners and the MCA during processing
The consultancy fee is charged for the facilitation and documentation effort itself and is payable irrespective of the time taken by, or the final outcome from, the MCA or Registrar of Companies.

3Government & Document Charges

In addition to the consultancy fee, statutory government and document charges — such as ROC filing fees, stamp duty on the LLP Agreement, Digital Signature Certificate (DSC) charges, PAN/TAN issuance, Udyam Registration and notarization — are applicable separately. These charges are determined by the partners' capital contribution and the state of registration, and are fixed by the respective government authority; they are not retained by CapitalBox as service revenue.

Government and document charges are collected at actuals and are separate from, and in addition to, the CapitalBox consultancy fee. These amounts vary by state and capital contribution and are confirmed with the customer before filing.

4Refund & Cancellation

The Consultancy Fee is non-refundable once the engagement has commenced and DSC/filing work has begun, as it represents the cost of professional services already rendered by CapitalBox, irrespective of the final registration outcome or timeline at the MCA.

If a customer wishes to withdraw before any filing or DSC work has commenced, they may request cancellation in writing; any refund in such cases, if applicable, shall be at the sole discretion of CapitalBox and may be subject to a deduction towards work already performed. Government and statutory charges already paid to the relevant authority are non-refundable by CapitalBox in any circumstance.

5Important Information

CapitalBox is a registration consultancy and facilitation service provider and does not itself incorporate any LLP. All registration decisions, timelines, and requirements rest exclusively with the Ministry of Corporate Affairs.

Final name approval, Certificate of Incorporation, LLPIN/PAN/TAN allotment, and any related statutory approvals are granted solely by the MCA, based on their own internal processes and verification. LLP registration typically takes 10–15 working days depending on name approval and document verification timelines at the MCA; CapitalBox has no control over, and makes no assurance regarding, this timeline.

Customers are advised to independently review the LLP Agreement and all filed documents before signing or submitting them.

6Customer Responsibilities

The customers (designated partners) are responsible for providing accurate, complete and truthful information and documentation, including PAN, Aadhaar, registered office proof and NoC, for the purpose of filing the incorporation and drafting the LLP Agreement. CapitalBox relies on the information provided by the partners and is not responsible for any delay, rejection, or adverse outcome arising from incomplete, incorrect, or misleading information or documents furnished by the customer.

The customer is also responsible for reviewing and understanding the LLP Agreement and any terms agreed among partners before signing, as CapitalBox's role is limited to facilitation and drafting support and does not extend to advising on the commercial terms agreed between partners.

7Data & Privacy

Personal, business and financial information shared by the customer will be used by CapitalBox solely for the purpose of DSC coordination, LLP Agreement drafting, and processing the registration facilitation request, and may be shared with the MCA and other relevant government authorities as necessary. CapitalBox takes reasonable measures to protect customer data in accordance with applicable law, including the Digital Personal Data Protection Act, 2023.

8Limitation of Liability

CapitalBox shall not be liable for any loss, damage, or claim arising from delay or rejection of the incorporation application, changes in government policy or filing requirements, or any act or omission of the MCA or other government authority. CapitalBox's liability, where applicable, shall in no event exceed the amount of consultancy fees actually paid by the customer to CapitalBox for the specific service in question.

9Fair Practices Code

CapitalBox commits to the following standards while assisting customers with LLP registration:

  • All fees, charges and the basis of calculation, including separate government/document charges, are disclosed upfront, in writing, before the customer makes any payment
  • No customer is pressured or misled about registration timelines, approval likelihood, or the scope of CapitalBox's role
  • Customer information is used only for the purpose of registration facilitation and is not sold or shared for unrelated marketing purposes
  • Genuine complaints are acknowledged and addressed within a reasonable and communicated timeframe
  • Communication with customers is conducted in clear, simple language, avoiding misleading claims about approval timelines or outcomes
This Code reflects CapitalBox's own service commitment as a consultancy and facilitator. It does not substitute any statutory obligation of the MCA or other government authority.

10Grievance Redressal

In case of any concern, complaint, or dispute relating to the services rendered by CapitalBox, customers may raise the matter through the official contact channels provided by CapitalBox. CapitalBox will endeavour to acknowledge and address genuine grievances within a reasonable timeframe.

11Legal Compliance & Governing Law

Services are provided under, and this document is governed by, applicable Indian laws. The relevance of each law to CapitalBox's LLP registration facilitation services is explained below:

Limited Liability Partnership Act, 2008

This is the primary law governing the formation, structure, rights, duties and registration of an LLP in India. It applies because the entire purpose of this engagement is to help the designated partners incorporate the LLP, file the FiLLiP form, and register the LLP Agreement under this Act.

Indian Contract Act, 1872

Governs the contractual relationship both between the designated partners themselves (the LLP Agreement is fundamentally a contract) and between CapitalBox and the customer. It applies because the moment a customer pays the consultancy fee and agrees to these terms, a valid contract is formed — this Act defines how such agreements are made, what makes them enforceable, and what happens on breach.

Income Tax Act, 1961

Applies because an LLP is required to obtain a PAN and TAN and is taxed as a distinct assessee under this Act. CapitalBox's coordination for PAN/TAN auto-allotment at the time of incorporation is undertaken in line with the requirements of this Act.

Consumer Protection Act, 2019

Applies because the customer is availing a paid consultancy service (registration facilitation) from CapitalBox, making them a "consumer" under law. This Act protects customers against unfair trade practices, misleading claims about timelines, and deficiency in service, and gives them the right to approach a Consumer Forum if the service is not delivered as promised.

Information Technology Act, 2000

Applies because the entire incorporation process — DSC issuance, document upload, digital communication, FiLLiP filing on the MCA portal, and online fee payment — happens electronically. This Act gives legal recognition to electronic records, digital signatures, and online transactions, and governs matters like data security and electronic contract validity.

Digital Personal Data Protection Act, 2023

Applies because CapitalBox collects and processes sensitive personal data of each designated partner (PAN, Aadhaar, address proof, photographs) for the purpose of DSC issuance and filing with government authorities. This Act regulates how such personal data must be collected, used, stored, and protected, and requires CapitalBox to obtain consent and safeguard the data against misuse.

Central Goods and Services Tax Act, 2017

Applies both because GST is charged on CapitalBox's own consultancy fee, and because the newly formed LLP may be required to obtain its own GST registration based on turnover or nature of business, which CapitalBox may assist with as a related post-incorporation service.

Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts at the location of CapitalBox's registered place of business.

12Amendments to These Terms

CapitalBox reserves the right to update or modify these terms, fees, or the scope of services at any time. Any material changes will be communicated through the website or other official channels, and continued use of the services after such changes constitutes acceptance of the updated terms.

13Customer Acknowledgement

By applying for services, the customer confirms that they have read and understood these terms, agrees to the applicable fees, terms and conditions set out above, and authorizes CapitalBox to assist with, and coordinate, the LLP registration process on their behalf.
