CapitalBox acts solely as a fundraising advisory and facilitator between the client business and Angel Investor, Venture Capital (VC), or Family Office partners for the purpose of raising equity or growth capital. CapitalBox is not an investor, fund, merchant banker, or SEBI-registered intermediary, and does not itself invest, underwrite, or guarantee any funding.
The role of CapitalBox is limited to reviewing the client's business, making it "investor ready" through pitch and documentation support, and introducing it into a relevant investor network. Engaging CapitalBox's services does not guarantee investor interest, a specific valuation, or any particular investment amount.
2Service Activation Fee
The activation fee of ₹6,500 + GST is payable at the time the client initiates the Investor Connect process, before the profile is shared with any investor. This is a one-time, non-refundable onboarding consultancy fee that covers the initial screening and preparation work undertaken by CapitalBox, regardless of the eventual funding outcome.
The fee specifically covers:
Business and pitch screening, to assess the client's business model, sector and fundraising need
Investor-readiness review, including feedback on the pitch deck, business plan and financials
Documentation guidance, including a checklist and review of company, KYC and financial documents
Profile preparation, formatting the business profile for circulation to the investor network
Coordination support between the client and prospective investors during initial outreach
The activation fee is charged for the advisory and preparation effort itself and is payable irrespective of whether the fundraising process subsequently results in an investment, a rejection, or a withdrawal.
3Success / Investor Fee
A success facilitation fee becomes payable only after an investor introduced through CapitalBox agrees to invest and the investment amount, or the first tranche of it, has actually been received into the client's business account.
This fee is performance-based and is calculated on the investment amount actually received (not merely committed or agreed in principle), and is due at the time of receipt of funds, unless otherwise communicated in writing by CapitalBox. Where an investment is received in tranches, CapitalBox may raise the success fee proportionately against each tranche or as a single amount against the total committed round.
This fee is charged on successful outcomes only. No success fee is payable if investor discussions do not materialise, if a term sheet is not converted into an actual investment, or if the client withdraws from the process before funds are received.
4Refund & Cancellation
The Service Activation Fee is non-refundable once the engagement has been initiated and screening/preparation work has commenced, as it represents the cost of advisory services already rendered by CapitalBox, irrespective of the final outcome of investor discussions.
If a client wishes to withdraw before their profile has been shared with any investor, they may request cancellation in writing; any refund in such cases, if applicable, shall be at the sole discretion of CapitalBox and may be subject to a deduction towards work already performed.
5Important Information
CapitalBox is a fundraising advisory and consultancy service provider and does not itself provide investment. All investment decisions, valuation, and deal terms rest exclusively with the Angel Investor, VC, or Family Office to whom the client's profile is presented.
Final investment decision, valuation, deal structure, and terms are determined solely by the respective investor, based on their own internal due diligence, risk assessment, and investment thesis. CapitalBox has no control over, and makes no assurance regarding, these outcomes.
Clients are advised to independently review and, where appropriate, seek legal and financial counsel on any term sheet, shareholders' agreement, or investment terms offered by an investor facilitated through CapitalBox before signing or accepting the same.
6Client Responsibilities
The client is responsible for providing accurate, complete and truthful information, financials, and documentation for the purpose of investor presentation. CapitalBox relies on the information provided by the client and is not responsible for any delay, investor disinterest, or adverse outcome arising from incomplete, incorrect, or misleading information or documents furnished by the client.
The client is also responsible for independently reviewing and understanding any term sheet, shareholders' agreement, valuation report, or investment terms issued directly by an investor before signing or accepting the same.
7Data & Privacy
Personal, business and financial information shared by the client will be used by CapitalBox solely for the purpose of processing the Investor Connect request and may be shared with relevant Angel Investor, VC, or Family Office partners as necessary to facilitate introductions. CapitalBox takes reasonable measures to protect client data in accordance with applicable law, including the Digital Personal Data Protection Act, 2023.
8Limitation of Liability
CapitalBox shall not be liable for any loss, damage, or claim arising from an investor's decision not to invest, delay in the fundraising process, changes in valuation or deal terms, or any act or omission of the investor. CapitalBox's liability, where applicable, shall in no event exceed the amount of fees actually paid by the client to CapitalBox for the specific service in question.
9Fair Practices Code
In line with the spirit of fair practice standards expected of financial advisory and facilitation businesses, CapitalBox commits to the following standards while assisting clients with Investor Connect:
All fees, charges and the basis of calculation are disclosed upfront, in writing, before the client makes any payment
No client is pressured, misled, or coerced about the likelihood, valuation, or timeline of securing investment
Client information is used only for the purpose of investor facilitation and is not sold or shared for unrelated marketing purposes
Genuine complaints are acknowledged and addressed within a reasonable and communicated timeframe
Communication with clients is conducted in clear, simple language, avoiding misleading claims about investor interest, valuation, or funding certainty
This Code reflects CapitalBox's own service commitment as a facilitator. CapitalBox is not a SEBI-registered intermediary, and this Code does not substitute any regulatory obligation that an investor, fund, or SEBI-registered entity is independently required to follow.
10Grievance Redressal
In case of any concern, complaint, or dispute relating to the services rendered by CapitalBox, clients may raise the matter through the official contact channels provided by CapitalBox. CapitalBox will endeavour to acknowledge and address genuine grievances within a reasonable timeframe.
11Legal Compliance & Governing Law
Services are provided under, and this document is governed by, applicable Indian laws. The relevance of each law to CapitalBox's Investor Connect facilitation services is explained below:
Indian Contract Act, 1872
Governs the contractual relationship between CapitalBox and the client. It applies because the moment a client pays the Service Activation Fee and agrees to these terms, a valid contract is formed — this Act defines how that agreement is made, what makes it enforceable, and what happens if either party fails to honour its obligations (breach of contract).
Applies because the client is availing a paid advisory service (Investor Connect facilitation) from CapitalBox, making them a "consumer" under law. This Act protects clients against unfair trade practices, misleading claims about investor interest or outcomes, and deficiency in service, and gives them the right to approach a Consumer Forum if the facilitation service is not delivered as promised.
Applies because the entire engagement — profile submission, document upload, digital communication, and online fee payment — happens electronically. This Act gives legal recognition to electronic records, digital signatures, and online transactions, and governs matters like data security, unauthorized access, and electronic contract validity.
Applies because CapitalBox collects and processes sensitive personal, business and financial data of the client (PAN, Aadhaar, financials, ownership details) for sharing with prospective investors. This Act regulates how such personal data must be collected, used, stored, and protected, and requires CapitalBox to obtain consent and safeguard the data against misuse.
Applies because the actual investment, once agreed, is typically infused through issue of shares or convertible instruments by the client's company. This Act governs share allotment, private placement rules (Section 42), valuation requirements, and the statutory filings a company must make when it raises equity capital — the underlying transaction that Investor Connect leads to, even though CapitalBox itself does not execute it.
SEBI (Alternative Investment Funds) Regulations, 2012
Applies because Venture Capital funds and many Family Offices that participate through this network are regulated as Alternative Investment Funds by the Securities and Exchange Board of India. While CapitalBox itself is not a SEBI-registered intermediary, the investors it connects clients with operate under this framework, which governs how such funds may source and make investments.
Applies whenever the participating investor (a foreign VC fund, overseas Family Office, or NRI angel investor) invests from outside India. This Act, along with RBI's FDI/FEMA regulations, governs how foreign capital can lawfully enter an Indian company, pricing guidelines, and the reporting a company must make to the RBI upon receiving such investment.
Applies because collecting KYC documents (PAN, Aadhaar, company registration, source-of-funds details) as part of investor onboarding is a legal requirement under India's anti-money-laundering framework. This Act is why identity and business verification is mandatory before a client's profile can be shared with any investor.
Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts at the location of CapitalBox's registered place of business.
12Amendments to These Terms
CapitalBox reserves the right to update or modify these terms, fees, or the scope of services at any time. Any material changes will be communicated through the website or other official channels, and continued use of the services after such changes constitutes acceptance of the updated terms.
13Client Acknowledgement
By applying for services, the client confirms that they have read and understood these terms, agrees to the applicable fees, terms and conditions set out above, and authorizes CapitalBox to assist with, and coordinate, the Investor Connect process on their behalf.

No. The Activation Fee covers the advisory work already carried out — screening, investor-readiness review and profile preparation — and is payable regardless of whether investor discussions ultimately result in funding. It is non-refundable once processing has begun.
Only after an investor introduced through CapitalBox has agreed to invest and the funds (or the first tranche) have actually been received into your account. If discussions don't convert into an investment, no success fee applies.
The investor decides this, based on their own due diligence and investment thesis. CapitalBox does not set or influence the valuation, deal structure, or final investment amount.
Your information is used only to process your Investor Connect request and is shared with relevant investor partners as needed for introductions. It is handled in line with the Digital Personal Data Protection Act, 2023.
You can raise it through CapitalBox's official contact channels. Genuine grievances are acknowledged and addressed within a reasonable timeframe, as outlined in the Grievance Redressal section above.
