Terms & Conditions
These Terms & Conditions govern the use of TenderBox services, website, tender information, tender alerts, tender search, GeM assistance, tender bidding support and related business support services provided by CapitalBox Digital Ventures under the brand name TenderBox.
By using TenderBox services, submitting information, making a payment or requesting assistance, the client acknowledges that they have read, understood and accepted these Terms & Conditions.
TenderBox provides information, facilitation, coordination and business support services. TenderBox is not a Government Department, Government Tender Authority, GeM authority, bank, NBFC, statutory authority or tender issuing organisation.
The client is responsible for providing correct, complete and updated information and documents required for the requested service.
TenderBox may communicate with the client through email, telephone, WhatsApp or other available communication channels regarding service requirements, tender opportunities, documents, deadlines and service updates.
TenderBox reserves the right to modify, suspend or discontinue any service where necessary, subject to applicable law and the terms applicable to the client's service.

Acceptance of these terms by electronic means forms a valid contract, and the firm acts through its partners.

Tender Information Disclaimer
TenderBox provides tender information and related assistance based on information available from public, official or third-party sources.
Tender information may include tender title, tender reference number, organisation, location, estimated value, submission deadline, eligibility information, category and other available details.
The information provided by TenderBox is intended for informational and facilitation purposes only.
The client must independently review the complete tender notice, tender document, eligibility criteria, technical specifications, financial requirements, corrigenda and other conditions published by the concerned tender authority before taking any action.
TenderBox does not guarantee that any particular tender will remain available, open, suitable or eligible for the client.
TenderBox does not guarantee that participation in a tender will result in an order, contract, approval, selection or award.

Tender Alert & Notification Policy
TenderBox may provide tender alerts based on the client's selected industry, products, services, keywords, locations, categories or other requirements.
Alerts may be provided through available communication channels such as email, WhatsApp, dashboard notifications or other methods offered by TenderBox.
Tender alerts depend on the availability and accuracy of information received from relevant sources.
There may be situations where a tender is published, modified, withdrawn, extended or closed before an alert reaches the client.
TenderBox does not guarantee delivery of every tender alert or notification.
The client remains responsible for checking the official tender source and monitoring applicable deadlines.

Alerts are sent on the basis of the client's requirements and consent, and remain subject to applicable communication rules.

Tender Bidding Support Terms
TenderBox may provide assistance relating to tender participation, including document coordination, requirement review, basic tender understanding, preparation support and submission-related facilitation, depending on the service selected by the client.
The exact scope of bidding support will depend on the service purchased and the client's requirements.
TenderBox does not guarantee tender qualification, technical acceptance, financial acceptance, L1 status, selection, award of contract or receipt of work order.
The client remains responsible for the accuracy and authenticity of all documents, declarations, certificates, information and financial quotations submitted in the tender.
Where a tender requires digital signatures, declarations, undertakings, EMD, tender fees, registrations, licences or other mandatory requirements, the client is responsible for ensuring that such requirements are fulfilled within the prescribed time.
TenderBox may assist with the process but does not replace the legal, technical, financial or statutory responsibility of the bidder.

The bidder stays legally responsible for every submission. False or forged documents and electronic signatures may attract legal liability.

Refund & Cancellation Policy
Refund eligibility depends on the service purchased, the stage of service and the work already performed.
Where a service has not been initiated and the applicable service terms permit cancellation, the client may request cancellation through the official customer support channel.
Once substantial work has commenced, including research, tender identification, document review, preparation, coordination, submission support or other service activities, the service fee may not be refundable, subject to applicable law and the specific service terms.
Government fees, tender fees, EMD, third-party charges, registration charges, digital signature charges or other amounts paid to external authorities or service providers may be non-refundable where the relevant authority or provider does not permit a refund.
A refund request must include the client's name, service details, payment reference and reason for the request.
Approved refunds will be processed through the applicable payment method or other suitable method within a reasonable processing period.
No refund shall be treated as automatic merely because a tender is not awarded, a client is found ineligible, a tender is cancelled by the authority or the client does not receive the expected business result.

Refunds follow the service terms and applicable law. GST is treated as required under the GST law.

Tender Data & Source Disclaimer
TenderBox may collect or display tender information obtained from official government portals, public procurement websites, GeM, government departments, PSUs and other publicly available sources.
TenderBox does not claim ownership of third-party government tender documents, logos, trademarks or official content belonging to their respective owners.
Where available, TenderBox may provide a link or reference to the relevant official tender source.
The official tender document published by the concerned authority shall be treated as the primary source for tender conditions, eligibility, specifications, deadlines and other requirements.
Tender information may change without prior notice due to corrigenda, extensions, cancellations, amendments or updates by the issuing authority.

GeM Service Disclaimer
TenderBox may provide assistance relating to Government e-Marketplace (GeM) registration, seller-related processes, product/service listing support, tender information and related business facilitation.
TenderBox is an independent private service provider and is not the Government e-Marketplace or a Government department.
Use of the GeM platform remains subject to GeM's own rules, policies, eligibility requirements and terms.
TenderBox does not guarantee GeM registration approval, seller approval, catalogue approval, order receipt, tender selection, business volume or any other commercial outcome.
The client is responsible for maintaining accurate information and complying with all applicable GeM requirements.

GeM usage is governed by GeM's own rules. TenderBox is an independent private service provider.

Tender Eligibility & Client Responsibility
The client is solely responsible for determining whether their business meets the eligibility requirements of a particular tender.
Eligibility may depend on factors including:
- Business constitution
- GST registration
- PAN
- Udyam/MSME registration
- Experience
- Turnover
- Technical qualifications
- Financial capacity
- Licences and certifications
- Past work orders
- Similar work experience
- Product specifications
- OEM requirements
- EMD or tender fee
- Location requirements
- Other tender-specific conditions
TenderBox may assist the client in understanding or identifying requirements, but the final determination of eligibility rests with the tender authority and the client.
The client must not provide false, misleading, forged or unauthorised documents or information.

Udyam, GST and other registrations must be genuine. Giving false information may attract legal consequences.

Tender Document & Deadline Disclaimer
Tender deadlines are controlled by the respective tender issuing authority.
TenderBox may communicate deadlines based on information available at the time of providing the service.
Deadlines may change because of corrigenda, extensions, technical updates or other actions by the tender authority.
The client must independently verify the latest deadline and submission requirements from the official tender source before submission.
TenderBox shall not be responsible for a missed deadline resulting from late instructions, incomplete documents, technical problems, client delays, portal issues or changes made by the tender authority.
Clients are advised to provide all required information and documents sufficiently before the applicable deadline.

E-tender deadlines and electronic bids are governed by the tender authority's terms and the IT Act.

Privacy & Data Protection
TenderBox may collect personal, business and service-related information necessary to provide its services.
Such information may include:
- Name
- Contact details
- Business information
- PAN
- GST details
- Udyam details
- Registration documents
- Tender-related documents
- Financial or business information where required
- Communication records
- Payment-related information
Information will be used for purposes such as providing requested services, communicating with clients, processing service requirements, maintaining records, providing tender alerts and meeting applicable legal or operational requirements.
TenderBox will take reasonable measures to protect information against unauthorised access, misuse, alteration or disclosure.
Information may be shared with relevant service providers, authorities, portals, partners or other parties where reasonably necessary to provide the requested service or comply with applicable law.
TenderBox does not authorise the misuse or unauthorised disclosure of client information.

Payment & Service Delivery Terms
All service charges must be paid through the payment methods officially communicated or provided by TenderBox.
The applicable service fee, taxes and other charges will be communicated before or during the service purchase process.
GST and other applicable taxes may be charged separately as required by law.
A service shall generally begin after confirmation of payment and receipt of the information or documents necessary to initiate the requested work.
Service timelines may vary depending on the type of service, client response, document availability, government or tender authority processing, portal availability and other external factors.
TenderBox may place a service on hold where required information, documents, approvals or client responses are pending.
The client is responsible for providing requested documents and information within the required timeframe.

Charges, taxes and electronic payment records are subject to applicable contract, tax and IT laws.

Grievance & Customer Support
TenderBox aims to provide timely customer support for service-related questions, complaints and requests.
Clients may contact TenderBox through the official customer support channel published on the website.
A grievance should contain sufficient information to identify the client, service, payment or issue concerned.
TenderBox may review the matter and communicate with the client regarding the resolution.
Where the issue relates to a government portal, tender authority, GeM, bank, NBFC, third-party provider or other external organisation, TenderBox may assist with communication or guidance, but the final decision remains with the concerned authority or organisation.

Intellectual Property & Copyright
The TenderBox name, branding, website design, original content, service descriptions, graphics and other proprietary materials are protected by applicable intellectual property laws.
Clients may use information provided by TenderBox for their legitimate business and service requirements.
No person may reproduce, copy, republish, modify, sell, distribute or commercially exploit TenderBox's proprietary content without appropriate permission.
Government tender documents, trademarks, logos and third-party materials remain the property of their respective owners.
Use of third-party materials does not imply ownership or affiliation unless expressly stated.

Limitation of Liability
TenderBox provides information, facilitation and support services and does not control decisions made by government departments, tender authorities, GeM, PSUs, banks, NBFCs, investors, procurement authorities or other third parties.
TenderBox does not guarantee:
- Tender award
- Tender selection
- Order confirmation
- Contract award
- Government approval
- GeM approval
- Business revenue
- Profit
- Minimum business volume
- Successful bidding
- L1 status
- Funding or financing
- Any specific commercial outcome
TenderBox will not be responsible for outcomes resulting from incorrect information provided by the client, client delays, incomplete documents, third-party decisions, portal downtime, technical failures, changes in government policies, changes in tender requirements or other circumstances outside its reasonable control.
Nothing in this document is intended to exclude or limit any liability that cannot legally be excluded or limited under applicable law.

Liability is limited only to the extent permitted by law. Rights that cannot be excluded remain unaffected.

Client Acknowledgement
By purchasing or using TenderBox services, the client acknowledges that:
- They have read and understood these Terms, Policies & Service Guidelines.
- The information and documents provided by them are accurate to the best of their knowledge.
- They understand that TenderBox is a private business support and facilitation service.
- TenderBox is not a Government Department or tender issuing authority.
- Tender information must be independently verified from the official source.
- TenderBox does not guarantee tender selection, order allocation or contract award.
- The client is responsible for meeting tender eligibility requirements.
- The client is responsible for providing complete and timely documents.
- The client is responsible for reviewing the final tender document before submission.
- Applicable service fees and taxes are payable according to the selected service.
- Refund eligibility is subject to the applicable Refund & Cancellation Policy.
- The client authorises TenderBox to use the information and documents reasonably required to provide the requested service.
- The client understands that third-party authorities and portals may make decisions independently of TenderBox.

Electronic acknowledgement is valid, and the client consents to use of the information needed to deliver the service.

Governing Law, Jurisdiction & Dispute Resolution
These Terms, Policies & Service Guidelines, and every service provided by TenderBox, are governed by and shall be construed in accordance with the laws of India.
Electronic communications, electronic records and online acceptance of these terms are valid and enforceable in accordance with the Information Technology Act, 2000.
Any complaint or dispute should first be raised with TenderBox through the official customer support channel so that the parties can try to resolve it amicably.
If a dispute is not resolved amicably within a reasonable period, it may be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual consent of the parties.
Subject to the above, the courts having jurisdiction at the place of the registered office of CapitalBox Digital Ventures shall have exclusive jurisdiction over any dispute arising out of these terms.
If any provision of these terms is held invalid or unenforceable, the remaining provisions shall continue in full force. Failure to enforce any provision shall not be treated as a waiver of that provision.
