1Acceptance of terms

By accessing or using the website www.capitalbox.co.in (“Platform”), which is operated under the business name CapitalBox Digital Ventures and the brand name CapitalBox, or by availing any service listed on it, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree with any part of these Terms, please do not use the Platform or our services.

These Terms apply to all visitors, registered users and businesses who use the Platform to enquire about, apply for, or avail any service offered by CapitalBox (“we”, “us”, “our”).

These Terms are read together with our Legal Terms of Use, our Privacy Policy, and any service-specific terms that apply to the service you choose, such as the Business Loan Facilitation Terms.

2Definitions

  • “Services” means business registration, GST, trademark, accounting, compliance, funding assistance, business consulting and any other service listed on the Platform.
  • “User” / “You” means any individual, business or entity accessing the Platform or availing the Services.
  • “Partner Institutions” means banks, NBFCs, Government authorities, investors and other lending or service partners we work with to facilitate certain Services.
  • “Service-Specific Terms” means any additional terms, plan details or written agreement that apply to a particular Service.
  • “Statutory Fees” means fees, duties and charges payable to Government departments or authorities, which are separate from our professional fees.

3Nature of our services

CapitalBox acts as a facilitator that connects businesses with the professional services, documentation support and Partner Institutions required to complete registrations, filings, compliance and funding applications. Certain Services (such as company registration, GST and trademark filing) are carried out by our in-house team or affiliated professionals (CA/CS/legal practitioners). Other Services, particularly business loans, grants and funding, are facilitated through Partner Institutions and are subject to their independent approval.

CapitalBox is not a bank, NBFC, lender, investor or Government authority. We do not guarantee approval, sanction, registration or any specific outcome for any application submitted through the Platform.

4Eligibility

You must be at least 18 years of age and legally competent to enter into a binding contract under Indian law to use the Platform on your own behalf, or on behalf of a business entity you are authorised to represent.

5User obligations

You agree to:

  • Provide accurate, current and complete information when using the Platform or submitting any application.
  • Upload only documents that are genuine, valid and lawfully held by you or your business.
  • Not use the Platform for any unlawful purpose, or to submit fraudulent or misleading information.
  • Respond to our requests for information and documents in a timely manner.
  • Keep confidential any account credentials, OTPs and payment details associated with your use of the Platform.

We reserve the right to reject, pause or cancel any application where the information provided is found to be inaccurate, incomplete or fraudulent.

6Fees and payments

Our professional fees for any Service will be communicated to you before you proceed, separately from any applicable Statutory Fees. GST and other applicable taxes and charges are payable in addition, unless specifically stated otherwise.

Once a service engagement is confirmed and work has commenced, fees already paid are generally non-refundable, except where required by applicable law or expressly stated otherwise in your service agreement or Service-Specific Terms. Where a success or facilitation fee applies, it is payable only as described in the applicable Service-Specific Terms.

Calculators (EMI, GST, eligibility, ROI) available on the Platform are indicative tools only and do not constitute a quote, offer or guarantee of any kind.

7Business loans & funding assistance

CapitalBox is not a bank or non-banking financial company (NBFC) and does not itself sanction or disburse loans. We facilitate introductions and applications between businesses and Partner Institutions. Loan eligibility, interest rates, tenure, processing fees and final sanction are determined solely by the Partner Institution based on its own credit policy and assessment.

The same applies to Government grants, subsidies and schemes, and to investor funding: eligibility and final decisions rest solely with the respective Government authority or investor.

Any indicative figures shown on the Platform (including through our EMI or eligibility calculators) are estimates only and may differ from the final terms offered by a Partner Institution. The Business Loan Facilitation Terms apply in addition to these Terms for loan facilitation services.

8Government fees & timelines

Statutory Fees for registrations, filings and approvals are set by the relevant Government departments, are payable in addition to our professional fees, and are generally non-refundable once paid or submitted to the authority.

Timelines mentioned on the Platform for registrations, filings or approvals (for example, for company incorporation, GST or trademark registration) are indicative and based on standard processing periods. Actual timelines depend on Government department processing, query resolution and timely submission of documents by you, and may vary beyond our control.

9Intellectual property

All content on the Platform, including text, graphics, logos, the CapitalBox name and brand, and the underlying calculators and tools, is owned by or licensed to CapitalBox Digital Ventures and is protected under applicable intellectual property laws. You may not copy, reproduce, modify or distribute any part of the Platform without our prior written consent.

10Confidentiality & privacy

Any personal or business information and documents you share with us are used solely for the purpose of providing the Services you have requested, and are handled in line with our Privacy Policy and applicable law, including the Digital Personal Data Protection Act, 2023.

We implement reasonable technical and organisational safeguards to protect your information. We share it with Partner Institutions or Government departments only where necessary to process your application, and we do not sell your personal data.

11Disclaimer of warranties

The Platform and Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no warranty that the Platform will be uninterrupted or error-free, or that any application will result in approval, registration or sanction.

12Limitation of liability

To the maximum extent permitted under applicable law, CapitalBox shall not be liable for any indirect, incidental or consequential loss arising from your use of the Platform, delays in Government processing, or decisions made by Partner Institutions.

Our total liability for any claim arising out of the Services shall not exceed the professional fees paid by you for that specific Service.

13Indemnification

You agree to indemnify and hold CapitalBox Digital Ventures, its owners, employees and affiliated professionals harmless from any claim, loss or liability arising out of inaccurate information provided by you, your breach of these Terms, or your violation of any applicable law.

14Third-party links

The Platform may contain links to third-party websites or Partner Institutions for your convenience. We do not control and are not responsible for the content, terms, charges or privacy practices of any third-party website or institution.

15Termination

We may suspend or discontinue your access to the Platform at any time, with or without notice, if we reasonably believe you have violated these Terms or used the Platform unlawfully. You may stop using the Platform at any time. Termination does not affect any rights, obligations or payments that arose before it.

16Governing law & jurisdiction

These Terms are governed by the laws of India. If a dispute arises, please write to us first so that we can try to resolve it in good faith. Any dispute arising out of or in connection with these Terms or the Services that is not resolved this way shall be subject to the exclusive jurisdiction of the courts at Surat, Gujarat, India.

17Changes to these terms

We may update these Terms from time to time to reflect changes in our Services or applicable law. The updated Terms will be posted on this page with a revised “Last updated” date, and continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

D1Introduction & Acceptance of Terms

1.1 Purpose of These Terms

These Terms & Conditions (“Terms”) govern the access to and use of the website, online platform, digital services, information, tools, consultation services, facilitation services, application assistance and other related services made available by CapitalBox Digital Ventures (“CapitalBox”, “we”, “us”, or “our”).

The purpose of these Terms is to clearly define the rights, responsibilities, conditions and limitations applicable to users, customers, applicants, businesses, entrepreneurs and other persons accessing or using CapitalBox services.

1.2 Meaning of Website Use

For the purpose of these Terms, “use of the Website” includes accessing, browsing, registering, submitting an enquiry, filling out an application or form, uploading documents, requesting a service, making a payment, communicating with CapitalBox, accessing any online tool or service, or otherwise interacting with the Website or its related digital services.

The Website may provide information and facilitation relating to business registration, compliance, business loans, bank and NBFC assistance, government schemes and grants, private funding, investor assistance, business consulting, documentation and other business-support services.

1.3 Acceptance by the User

By accessing, browsing or using the Website or by submitting any enquiry, application, request or document through CapitalBox, the user confirms that the user has read, understood and agreed to be bound by these Terms & Conditions, together with the applicable Privacy Policy, Refund Policy, Disclaimer and any other policies, service-specific terms or agreements applicable to the requested service.

If the user does not agree with any provision of these Terms, the user should discontinue use of the Website and should not submit an application, request, payment or personal/business information through the Website.

1.4 Applicability of These Terms

These Terms become applicable from the time the user first accesses or uses the Website and continue to apply during the user's use of the Website and CapitalBox services, to the extent applicable.

Additional terms, service-specific conditions, quotations, proposals, application forms, Memorandum of Understanding (“MOU”), consultancy agreements, engagement letters, invoices or other written agreements may apply to particular services. In case of a specific service engagement, the applicable service-specific document shall be read together with these Terms.

1.5 Eligibility and Authority

By using the Website or requesting any service, the user represents that the information provided by the user is accurate and that the user has the legal capacity and necessary authority to enter into the applicable service arrangement.

Where a person submits an application or information on behalf of a company, LLP, partnership, proprietorship, startup, organisation or another business entity, such person represents that they are authorised to provide the information and communicate with CapitalBox on behalf of that entity.

1.6 Changes to These Terms

CapitalBox may update, modify, add or remove provisions of these Terms from time to time to reflect changes in its services, business processes, applicable requirements or Website functionality.

The updated Terms may be published on the Website with the revised effective date. Continued use of the Website or services after such changes are published shall constitute acceptance of the updated Terms, subject to applicable law.

1.7 No Automatic Service Engagement

Merely accessing or browsing the Website does not create a service engagement, consultancy relationship, agency relationship, partnership, lender-borrower relationship or investment relationship between the user and CapitalBox.

A specific service engagement shall arise only where the applicable service requirements, payment conditions, proposal, MOU, agreement, application or other applicable documentation have been completed or accepted, as applicable to that service.

D2About CapitalBox Digital Ventures

2.1 Business Name

CapitalBox Digital Ventures (“CapitalBox”, “we”, “us”, or “our”) is a business support and consultancy platform providing assistance and facilitation services to startups, entrepreneurs, MSMEs, businesses and other eligible applicants.

The name CapitalBox Digital Ventures may be used across the Website, service communications, proposals, invoices, agreements, applications and other business-related communications of CapitalBox, subject to applicable legal and regulatory requirements.

2.2 Nature of Business

CapitalBox operates as a business support, consultancy and facilitation platform. Its services may include providing information, documentation assistance, application support, business consulting, process coordination, referrals and facilitation between customers and relevant third-party service providers, financial institutions, investors, government authorities, professional service providers or other organisations, wherever applicable.

CapitalBox's role may vary depending on the service selected by the customer and the applicable engagement terms.

2.3 General Description of Services

Depending on the service requested, CapitalBox may provide or facilitate assistance relating to:

  • Business registration and formation support
  • GST, Udyam and other business registrations
  • Statutory and business compliance assistance
  • Business documentation and application preparation
  • Business loans and working capital assistance
  • Bank and NBFC application facilitation
  • Government schemes, grants and funding assistance
  • Startup funding and related application support
  • Private funding and investor-connect facilitation
  • Investor-readiness and business proposal assistance
  • Project Reports (DPR), business plans and financial documentation
  • Business consulting and online consultation
  • Referral and coordination with relevant third-party professionals or service providers
  • Other business-support services introduced by CapitalBox from time to time

The availability of any particular service depends on the customer's requirements, eligibility, documentation, applicable terms and the availability of the relevant third-party service provider or institution.

2.4 Role of CapitalBox

CapitalBox may assist customers by collecting and organising information and documents, providing general guidance, preparing or coordinating documentation, facilitating applications, communicating with relevant parties, sharing available opportunities and supporting customers during the applicable service process.

Where CapitalBox facilitates an application or connects a customer with a third party, the final decision regarding approval, sanction, investment, grant, loan, registration, service delivery, commercial terms or any other outcome may rest with the relevant bank, NBFC, financial institution, investor, government authority, professional or other third-party organisation.

2.5 Limitations of CapitalBox's Role

CapitalBox does not represent itself as a bank, NBFC, financial institution, government authority or investor unless expressly authorised or registered to provide a specific regulated service.

CapitalBox does not independently determine the eligibility criteria, approval decision, sanction amount, interest rate, investment amount, grant amount, repayment terms, disbursement schedule or other commercial terms of a third-party financial or funding arrangement.

Any approval, sanction, investment, grant, loan, registration or other outcome is subject to the applicable eligibility requirements, verification, documentation, internal policies, due diligence and independent decision-making of the relevant authority or third party.

2.6 No Guarantee of Outcome

Submission of an application, payment of a service fee, preparation of documents, facilitation by CapitalBox or communication with any third party does not by itself create a right to receive approval, funding, investment, grant, loan, registration or any other specific outcome.

CapitalBox may provide assistance and facilitation based on the information and documents provided by the customer; however, the final outcome remains subject to the applicable process and decision of the relevant authority, institution, investor or service provider.

2.7 Third-Party Services

Certain services, opportunities, referrals, financial products, funding options, professional services or external platforms may be provided, processed or decided by third parties.

Where applicable, such third parties may have their own eligibility criteria, terms, privacy policies, documentation requirements, fees, timelines and decision-making procedures. Customers are responsible for reviewing the applicable third-party terms before proceeding with any such service or arrangement.

2.8 Customer Responsibility

Customers are responsible for providing complete, accurate and genuine information and documents required for the selected service. CapitalBox may rely on information supplied by the customer for processing, documentation, communication or facilitation purposes.

Any delay, rejection, change in eligibility or other issue arising from incomplete, inaccurate, outdated or misleading information or documents provided by the customer may affect the service process.

D3Definitions

For the purpose of these Terms & Conditions, the following words and expressions shall have the meanings assigned to them below. Where the context requires, words in the singular shall include the plural and vice versa.

3.1 “CapitalBox”

“CapitalBox”, “we”, “us” or “our” means CapitalBox Digital Ventures, including its authorised representatives, employees, consultants, support personnel and persons or service providers acting on its behalf, as applicable.

3.2 “Customer / Client”

“Customer” or “Client” means any individual, proprietor, company, LLP, partnership, startup, MSME, organisation, business entity or other person who purchases, requests, engages for, or receives any service from CapitalBox.

3.3 “User”

“User” means any person who accesses, visits, browses, registers on, communicates through, submits information to, or otherwise uses the CapitalBox Website, platform, forms, applications, tools or digital services, whether or not such person becomes a Customer or Client.

3.4 “Services”

“Services” means the business support, consultancy, documentation, facilitation, coordination, referral, application assistance and other services offered by CapitalBox from time to time.

Services may include business registration and compliance assistance, loan and funding facilitation, government scheme and grant assistance, private funding and investor-connect assistance, business documentation, project reports, business consultation and other related services.

The scope of a particular service shall be determined by the applicable service description, quotation, proposal, invoice, MOU, agreement or other applicable document.

3.5 “Third Party”

“Third Party” means any person, company, bank, NBFC, financial institution, investor, government authority, regulatory authority, professional, consultant, service provider, platform, referral partner or other organisation that is independent of CapitalBox and may be involved in, connected with, or relevant to a customer's requested service or application.

3.6 “Funding”

“Funding” means any form of financial support, financing, credit facility, business loan, working capital facility, grant, subsidy, investment, private funding, equity funding, debt funding or other financial assistance that may be available through a relevant bank, NBFC, financial institution, investor, government authority or other funding source.

The availability, eligibility, approval, amount, terms and disbursement of any Funding shall remain subject to the applicable requirements and independent decision of the relevant funding source or authority.

3.7 “Application”

“Application” means any request, form, proposal, submission, registration, funding request, service request, enquiry or other application submitted by or on behalf of a Customer to CapitalBox or, where applicable, to a relevant Third Party through or with the assistance of CapitalBox.

3.8 “Service Fee”

“Service Fee” means any fee, charge, consultation fee, facilitation fee, documentation fee, processing fee, professional fee, activation fee or other applicable amount payable by the Customer to CapitalBox for the selected Services, as communicated through the applicable quotation, invoice, payment page, proposal, agreement or other written communication.

Applicable taxes, including GST where applicable, may be charged in addition to the Service Fee.

3.9 “Business Day”

“Business Day” means a day on which normal business operations are generally conducted in India, excluding Sundays and public holidays, unless a different definition is specifically provided in the applicable service agreement or communication.

Where a service depends upon the working schedule of a particular bank, financial institution, government authority or Third Party, the working days of that relevant organisation may also affect the applicable processing timeline.

3.10 “Website”

“Website” means the CapitalBox website, including its webpages, forms, portals, sub-pages, online applications, digital tools and related web-based services, as updated or modified from time to time.

3.11 “Applicable Law”

“Applicable Law” means the laws, rules, regulations, notifications, guidelines and legally applicable requirements relevant to the Services, the Customer, the transaction or the jurisdiction concerned.

3.12 “Document”

“Document” means any physical or electronic document, certificate, statement, identification document, financial record, business record, application form, proposal, agreement, report or other information submitted, requested or used in connection with the Services.

3.13 “Content”

“Content” means text, information, descriptions, graphics, images, logos, designs, documents, videos, materials, software, data and other material made available through the Website or CapitalBox's digital platforms.

3.14 “Effective Date”

“Effective Date” means the date on which these Terms become applicable to a User or Customer, which may be the date of first use of the Website, submission of an Application, acceptance of a Service, payment of a Service Fee, execution of an agreement or such other date as may be specified in the applicable service document.

D4Scope of Services

CapitalBox Digital Ventures provides business support, consultancy, documentation, coordination and facilitation services to businesses, startups, entrepreneurs, MSMEs and other eligible customers. The scope of services may vary depending on the service selected by the Customer, applicable eligibility requirements, documentation and the terms of the relevant engagement.

4.1 Business Registration Assistance

CapitalBox may assist Customers with business registration and formation-related processes, including assistance relating to proprietorship, partnership, LLP, company, OPC and other applicable business structures.

The actual registration, approval, allotment of certificates or incorporation shall be subject to the requirements and decision of the relevant government authority or applicable statutory body.

4.2 GST / Udyam Assistance

CapitalBox may provide assistance in relation to GST registration, GST-related documentation, Udyam/MSME registration and related application processes.

Customers are responsible for providing accurate information and documents required for the applicable registration or service.

4.3 Compliance Assistance

CapitalBox may provide or facilitate assistance relating to applicable business compliance requirements, including documentation, filing coordination, return-related assistance, statutory records and other compliance-support activities, depending on the service selected.

The Customer remains responsible for providing complete information and documents within the required timelines.

4.4 Business Documentation

CapitalBox may assist with the preparation, organisation, review or coordination of business documents, including business profiles, proposals, declarations, undertakings, application forms, business plans, financial information and other documents required for a particular service.

Where documents require certification, verification, attestation or professional approval, such activity may be subject to the involvement of the relevant authorised professional or authority.

4.5 Bank & NBFC Assistance

CapitalBox may provide facilitation and application assistance for eligible business loan and financial assistance requirements involving banks, NBFCs or other financial institutions.

Such assistance may include preliminary requirement assessment, document coordination, application support and communication or coordination with relevant institutions, as applicable.

Final approval, sanction, loan amount, interest rate, security requirements, repayment terms and disbursement shall be determined independently by the relevant financial institution.

4.6 Working Capital Assistance

CapitalBox may assist eligible businesses in identifying and applying for suitable working capital facilities or related financial products through relevant banks, NBFCs or other financial institutions.

The availability and terms of such facilities shall depend on the Customer's eligibility, financial profile, documentation, lender policies and other applicable requirements.

4.7 Government Funding / Grant Assistance

CapitalBox may provide assistance relating to government funding programmes, grants, subsidies, schemes and other applicable government-supported opportunities.

Such assistance may include opportunity identification, preliminary eligibility guidance, documentation support, application preparation and facilitation, where applicable.

The availability, eligibility, selection, approval, grant amount, release of funds and other conditions shall be determined by the relevant government authority or implementing agency.

4.8 Startup Funding Assistance

CapitalBox may assist eligible startups with funding-related preparation and facilitation, including business documentation, funding proposals, startup profiles, financial information, application support and identification of relevant funding opportunities.

Funding availability and final decisions shall remain subject to the requirements and independent decision-making of the relevant funding source.

4.9 Private Funding Assistance

CapitalBox may provide facilitation and support for private funding requirements, including assistance with funding documentation, business proposals, investor-readiness materials, preliminary coordination and identification or introduction to relevant funding opportunities, where applicable.

Private investors or funding providers may conduct their own due diligence, evaluation and decision-making before entering into any transaction.

4.10 Investor Connect

CapitalBox may facilitate communication or introductions between eligible businesses, startups or entrepreneurs and potential investors, investment networks or other relevant parties, where such opportunities are available.

Investor introduction or communication does not constitute an offer, commitment or confirmation of investment. Any investment decision, valuation, investment amount, transaction structure and related terms shall be determined by the relevant parties independently.

4.11 DPR / Project Report

CapitalBox may provide assistance with the preparation, structuring, compilation or coordination of Detailed Project Reports (“DPR”), project reports, business plans, financial projections, funding proposals and related business documents.

The Customer shall be responsible for providing accurate business, financial, technical and operational information required for preparing such documents.

4.12 Business Consultation

CapitalBox may provide business consultation relating to areas such as business planning, registration, documentation, funding readiness, compliance support, financial application preparation, business processes and other general business-support matters.

Consultation provided by CapitalBox is intended for general business-support purposes and shall not be treated as legal, tax, accounting, investment, financial or other regulated professional advice unless expressly provided by an appropriately qualified and authorised professional.

4.13 Other Business Support Services

CapitalBox may introduce, modify, expand or discontinue additional business support, consultancy, documentation, facilitation, referral or digital services from time to time.

Any additional service shall be subject to its applicable service description, eligibility requirements, fees, terms, documentation and engagement conditions.

4.14 Service-Specific Scope

The exact scope of Services provided to a Customer shall depend on the service selected and the applicable quotation, proposal, invoice, payment confirmation, MOU, agreement or other written communication issued or accepted by CapitalBox.

Services not expressly included in the applicable engagement shall not be considered part of the agreed scope unless separately confirmed in writing.

4.15 No Guaranteed Outcome

CapitalBox provides assistance, consultancy and facilitation services and does not control the independent decisions of banks, NBFCs, investors, government authorities, regulatory bodies or other Third Parties.

Accordingly, the provision of any Service, preparation of an Application, submission of Documents, payment of a Service Fee or facilitation by CapitalBox does not create an obligation for any Third Party to approve, sanction, invest, grant, register, disburse or otherwise accept the Customer's request.

4.16 Customer Cooperation

The Customer shall provide accurate, complete and timely information and Documents reasonably required for the selected Service. Delays or limitations in the Service process may occur where required information, Documents, approvals, responses or actions are not provided by the Customer within the applicable timeline.

D5Nature of CapitalBox Services

CapitalBox Digital Ventures provides business support, consultancy and facilitation-oriented services to Customers, businesses, startups, entrepreneurs and other eligible applicants. The nature of the Services may vary according to the Customer's requirements and the specific service engagement.

5.1 Consultancy

CapitalBox may provide general business consultancy and guidance relating to business planning, registration, documentation, compliance support, funding readiness, application preparation and other business-related requirements.

The nature and extent of consultancy shall depend on the service selected and the applicable engagement terms.

5.2 Facilitation

CapitalBox may facilitate communication, application processes, documentation exchange, referrals, introductions and coordination between Customers and relevant Third Parties, including banks, NBFCs, financial institutions, investors, government authorities, professional service providers and other organisations, where applicable.

CapitalBox does not control the independent decisions, policies or processes of such Third Parties.

5.3 Documentation Assistance

CapitalBox may assist Customers in preparing, compiling, organising or coordinating documents required for a particular business, funding, registration, compliance or other service.

The Customer remains responsible for ensuring that the information and documents provided to CapitalBox are accurate, complete, genuine and up to date.

5.4 Application Assistance

CapitalBox may assist Customers with understanding application requirements, organising information, preparing application-related documents, completing forms and coordinating submission of applications, where applicable.

Submission or processing of an Application does not mean that the relevant authority, financial institution, investor or Third Party will approve or accept the Application.

5.5 Coordination Support

CapitalBox may provide coordination support between the Customer and relevant Third Parties during the applicable service process. Such coordination may include communication, document requests, status updates, follow-ups and sharing of information received from the relevant Third Party.

The timing and availability of responses remain dependent on the respective Third Party and other circumstances outside CapitalBox's direct control.

5.6 Customer Support

CapitalBox may provide customer support through available communication channels for service-related queries, document requirements, application status, process-related information and general assistance.

Customer support does not constitute a guarantee of approval, funding, investment, registration, grant, loan sanction or any other specific outcome.

5.7 Independent Third-Party Decisions

Where a Service involves a bank, NBFC, investor, government authority, professional, financial institution or any other Third Party, the relevant Third Party may independently evaluate the Customer and make its own decision in accordance with its policies, eligibility requirements, due diligence procedures and applicable rules.

CapitalBox's role shall generally remain limited to the agreed consultancy, facilitation, documentation, application, coordination and customer-support activities specified under the applicable Service.

5.8 No Agency or Authority Unless Expressly Provided

Nothing in these Terms shall be interpreted as creating a partnership, joint venture, employment relationship, agency relationship or authority to bind any Third Party, unless such relationship is expressly established through a separate written agreement and is legally applicable.

CapitalBox's provision of consultancy, facilitation or coordination support does not give CapitalBox authority to make decisions on behalf of a bank, NBFC, investor, government authority or other independent Third Party.

D6No Direct Lending / Investment / Grant Issuance

6.1 No Direct Lending by CapitalBox

CapitalBox Digital Ventures does not itself operate as a bank or lending institution and does not directly provide loans, credit facilities or other lending products to Customers unless expressly authorised under applicable law for a specific service.

Where applicable, CapitalBox may provide assistance or facilitate communication and applications with relevant banks, NBFCs or other financial institutions.

6.2 No Loan Sanction by CapitalBox

CapitalBox does not independently sanction, approve or determine the terms of any loan or credit facility.

Loan applications may be evaluated by the relevant bank, NBFC or financial institution based on its own eligibility criteria, internal policies, documentation requirements, verification procedures, credit assessment and other applicable conditions.

The decision regarding sanction, loan amount, interest rate, tenure, security, repayment terms and disbursement shall be made by the concerned financial institution.

6.3 No Direct Issuance of Government Grants

CapitalBox does not itself issue, sanction or disburse government grants, subsidies or government financial assistance.

CapitalBox may provide assistance relating to the identification, documentation, preparation, application or facilitation of eligible government schemes, grants or funding programmes, where applicable.

The final decision regarding eligibility, selection, approval, sanction and release of any government grant or financial assistance shall be made by the relevant government authority, department, agency or implementing institution.

6.4 No Independent Investment Guarantee

CapitalBox does not itself independently guarantee that a Customer will receive investment, private funding, equity funding, debt funding or any other form of investment.

Where Investor Connect or private funding facilitation is provided, CapitalBox may assist with documentation, investor-readiness, introductions, communication or coordination, as applicable.

Any investment decision shall be made independently by the relevant investor or funding party after its own evaluation, due diligence and consideration of applicable commercial terms.

6.5 Final Decision by Concerned Institution, Authority or Investor

For any loan, credit facility, government grant, subsidy, investment, private funding or other financial arrangement involving a Third Party, the final decision shall rest with the concerned bank, NBFC, financial institution, government authority, department, agency, investor or other relevant funding provider.

Such Third Party may independently determine eligibility, approval, sanction, funding amount, investment amount, applicable terms, conditions, documentation requirements and disbursement or release of funds.

6.6 Role of CapitalBox

CapitalBox's role, where applicable, may be limited to consultancy, facilitation, documentation assistance, application assistance, coordination, communication support and customer support in accordance with the selected Service.

CapitalBox does not control the independent decision-making process of any bank, NBFC, government authority, investor or other Third Party.

6.7 No Representation of Guaranteed Approval

Any information, guidance, assessment, documentation assistance, application support, referral, introduction or facilitation provided by CapitalBox should not be interpreted as confirmation that a loan, grant, investment, funding facility or other financial assistance will be approved, sanctioned, issued or disbursed.

The Customer acknowledges that the final outcome depends on the applicable eligibility requirements, verification, due diligence, policies and independent decision of the relevant Third Party.

D7No Approval or Outcome Assurance

7.1 No Assurance of Loan Approval

CapitalBox does not assure, promise or represent that any loan or credit application submitted, processed or facilitated through its Services will be approved or sanctioned.

The approval of any loan or credit facility is subject to the independent assessment, eligibility criteria, policies, verification and decision of the concerned bank, NBFC or financial institution.

7.2 No Assurance of Grant Approval

CapitalBox does not assure or represent that any government grant, subsidy, scheme benefit or other government funding application will be approved or sanctioned.

Government funding applications remain subject to the eligibility criteria, availability of funds, applicable scheme guidelines, verification, evaluation and decision of the concerned government authority, department, agency or implementing institution.

7.3 No Assurance of Investment

CapitalBox does not assure or represent that a Customer will receive investment, private funding, equity funding, debt funding or any other investment-related financial support.

Any investment decision shall be made independently by the relevant investor or funding provider after its own evaluation, due diligence and consideration of the proposed transaction.

7.4 No Assurance of Specific Funding Amount

CapitalBox does not assure or represent that a Customer will receive any particular loan amount, grant amount, investment amount, credit limit or other specified amount of funding.

The amount, if any, shall be determined by the concerned bank, NBFC, financial institution, government authority, investor or other relevant funding provider based on its applicable criteria and assessment.

7.5 No Assurance of Interest Rate or Commercial Terms

CapitalBox does not assure or determine any specific interest rate, processing charges, repayment period, tenure, security requirement, collateral requirement, valuation, investment terms, repayment terms, commercial conditions or other financial terms applicable to a funding arrangement.

Such terms shall be determined by the concerned financial institution, investor, government authority or other relevant Third Party, as applicable.

7.6 No Assurance of Disbursement or Release of Funds

Submission, processing or approval of an Application does not by itself establish that funds will be disbursed or released.

Disbursement or release of any approved loan, grant, investment or other financial assistance shall remain subject to completion of the applicable conditions, documentation, verification, agreements and procedures of the concerned institution, authority, investor or funding provider.

7.7 Factors Affecting the Outcome

The outcome of an Application may depend on various factors, including but not limited to:

  • Customer eligibility
  • Business profile and financial position
  • Credit history and applicable credit assessment
  • Quality and completeness of Documents
  • Verification and due diligence
  • Applicable government or institutional guidelines
  • Availability of funds or applicable funding programmes
  • Internal policies of the concerned institution or investor
  • Security, collateral or other requirements, where applicable
  • Regulatory or statutory requirements
  • Information provided by the Customer
  • Changes in policies, schemes, funding availability or market conditions

7.8 CapitalBox's Limited Role

CapitalBox may provide consultancy, documentation assistance, application assistance, facilitation, coordination and customer support in accordance with the selected Service.

Such Services are intended to assist the Customer with the applicable process and do not constitute a commitment regarding the final outcome of any loan, grant, investment, funding or other application.

7.9 Customer Acknowledgement

By using the Services, the Customer acknowledges that the final outcome of any funding, loan, grant or investment-related Application is determined by the concerned institution, authority, investor or other relevant Third Party.

The Customer further acknowledges that payment of a Service Fee or completion of CapitalBox's agreed Services does not create an entitlement to any specific approval, funding amount, interest rate, commercial term or disbursement.

D8Third-Party Institutions

8.1 General

CapitalBox Digital Ventures may, where applicable, facilitate communication, coordination, referrals, introductions, documentation exchange or application-related support involving independent third-party institutions, organisations, professionals or service providers.

Such Third Parties operate independently from CapitalBox and may have their own eligibility criteria, policies, procedures, fees, timelines, documentation requirements and decision-making processes.

8.2 Banks

CapitalBox may assist Customers with business loan, working capital, credit facility or other applicable banking-related applications involving banks.

The relevant bank shall independently evaluate the Customer and determine whether any banking or credit facility may be offered, along with the applicable amount, interest rate, tenure, security requirements and other terms.

8.3 NBFCs

CapitalBox may facilitate applications or communication with Non-Banking Financial Companies (“NBFCs”) or other eligible financial service providers, where applicable.

Each NBFC may independently determine eligibility, documentation requirements, pricing, credit assessment, approval, sanction and disbursement in accordance with its applicable policies and regulatory requirements.

8.4 Financial Institutions

CapitalBox may coordinate with financial institutions or other authorised financial service providers for services or applications relevant to the Customer's requirements.

Any financial product, facility or service offered by such institution shall remain subject to that institution's own terms, conditions, verification and decision-making process.

8.5 Government Departments

CapitalBox may assist Customers with applications, documentation or information relating to relevant government departments, authorities or public bodies.

CapitalBox does not control the processing, evaluation, approval, rejection, sanction or release of any benefit by a government department or authority.

8.6 Government Scheme Authorities

CapitalBox may provide assistance relating to government schemes, grants, subsidies, incentives and other government-supported programmes.

Eligibility, selection, approval, sanction, benefit amount, fund availability and release of any benefit shall be determined by the concerned government authority, department, agency or implementing institution in accordance with the applicable scheme guidelines and requirements.

8.7 Investors

CapitalBox may provide Investor Connect, private funding facilitation, investor-readiness support, introductions or coordination with potential investors or investment-related parties, where applicable.

Investors are independent parties and may conduct their own due diligence, assessment, negotiations and decision-making. CapitalBox does not control whether an investor will engage with, invest in or enter into an agreement with any Customer.

8.8 Professional Partners

Depending on the Service, CapitalBox may coordinate with independent professionals or professional partners, including accountants, Chartered Accountants, Company Secretaries, legal professionals, consultants, tax professionals, technical experts or other qualified professionals.

Where professional services are provided directly by such professionals, their engagement, advice, responsibility, fees and applicable terms may be governed by a separate professional arrangement.

8.9 Other Service Providers

CapitalBox may also coordinate with other independent service providers, technology platforms, documentation providers, consultants, referral partners or specialised service providers where such involvement is relevant to the Customer's requested Service.

The scope, quality, availability, timelines and terms of services provided by such Third Parties may be governed by their respective terms and conditions.

8.10 Independent Decision-Making

All Third-Party Institutions and service providers remain independent from CapitalBox unless expressly stated otherwise in a written agreement.

CapitalBox does not control the internal policies, eligibility criteria, due diligence, approval process, commercial terms, pricing, timelines or final decisions of such Third Parties.

8.11 Customer's Responsibility

The Customer may be required to provide additional information, Documents, declarations, authorisations or confirmations directly to the relevant Third Party.

The Customer is responsible for reviewing and complying with the applicable requirements, terms and conditions communicated by the relevant Third Party.

8.12 No Liability for Independent Third-Party Decisions

To the extent permitted by Applicable Law, CapitalBox shall not be responsible for an independent decision, delay, rejection, change in terms, non-availability, processing requirement or other action taken by a Third Party where such matter is outside CapitalBox's reasonable control.

Any dispute relating specifically to a Third-Party product, service, approval, transaction or decision may be subject to the terms, policies and procedures of the relevant Third Party.

D9Eligibility & Assessment

9.1 Third-Party Eligibility Criteria

Eligibility for any loan, credit facility, government scheme, grant, investment, funding opportunity, registration, financial product or other Third-Party service may be determined by the concerned bank, NBFC, financial institution, government department, government scheme authority, investor or other relevant institution.

Each Third Party may apply its own eligibility criteria, policies, guidelines, verification procedures and documentation requirements.

9.2 Preliminary Assessment by CapitalBox

Based on the information and Documents provided by the Customer, CapitalBox may conduct a preliminary assessment for the limited purpose of understanding the Customer's requirements and identifying potentially relevant Services, funding options, schemes, institutions or opportunities.

Any such preliminary assessment is based on the information available at that time and may be subject to further verification, review or change.

9.3 No Final Eligibility Determination by CapitalBox

A preliminary assessment, discussion, consultation, document review or indication provided by CapitalBox shall not be treated as a final determination of eligibility.

CapitalBox does not independently determine or guarantee the final eligibility of a Customer for any loan, grant, investment, funding facility, government scheme or Third-Party service unless expressly authorised to make such determination under Applicable Law.

9.4 Final Eligibility

The final eligibility of the Customer shall be determined by the concerned bank, NBFC, financial institution, government authority, investor or other relevant Third Party, as applicable.

The concerned institution may independently review the Customer's business profile, financial information, credit history, Documents, repayment capacity, project details, business model, statutory compliance, security or collateral requirements and other applicable factors.

9.5 Customer Information

The Customer shall provide accurate, complete, current and genuine information and Documents required for the relevant assessment or Application.

CapitalBox may rely on the information provided by the Customer for preliminary assessment, documentation and facilitation purposes. Any material change, omission, inaccuracy or incomplete information may affect the assessment or subsequent Application process.

9.6 Verification by Third Party

The relevant Third Party may independently verify the information and Documents provided by the Customer and may request additional Documents, clarifications, declarations, authorisations or other information before making its decision.

Such verification may result in changes to the preliminary assessment or may affect the Customer's eligibility.

9.7 Changes in Eligibility

Eligibility criteria may change due to changes in applicable laws, regulations, government schemes, institutional policies, lending policies, investor requirements, funding availability or other circumstances.

Accordingly, an assessment made at one point in time does not necessarily establish continued or final eligibility at a later stage.

9.8 No Entitlement from Preliminary Assessment

A preliminary assessment or indication of potential eligibility does not create any right or entitlement to loan approval, grant, investment, funding, registration, financial assistance or any other specific outcome.

The final decision shall remain subject to the independent assessment and decision of the concerned institution, authority, investor or other relevant Third Party.

D10Customer Information & Documentation

10.1 Accurate Information

The Customer shall provide complete, accurate, genuine, current and non-misleading information to CapitalBox in connection with any enquiry, Application, Service or engagement.

The Customer shall not knowingly provide false, fabricated, incomplete or misleading information or make any material omission that may affect the Service or Application.

10.2 Complete Documentation

The Customer shall provide all Documents reasonably required for the selected Service within the applicable timeframe.

Documents may include, depending on the Service, identity documents, business registration documents, financial records, bank statements, tax records, business details, project information, declarations, authorisations and other supporting Documents.

10.3 Valid and Genuine Documents

All Documents submitted by the Customer must be valid, genuine, legible, current where applicable and legally obtained.

The Customer shall not submit forged, altered, fabricated, expired or misleading Documents or information.

Where a Document is required to be certified, attested, notarised, digitally signed or otherwise verified, the Customer shall comply with the applicable requirement.

10.4 Additional Documents and Information

CapitalBox or the relevant Third Party may request additional Documents, information, explanations, declarations, authorisations or clarifications during the Service or Application process.

The Customer shall provide such additional information or Documents within the timeframe reasonably specified by CapitalBox or the relevant Third Party.

Failure to provide requested information or Documents may result in delay, suspension, non-processing or closure of the relevant Service or Application, subject to the applicable circumstances and terms.

10.5 Updating Changes in Information

The Customer shall promptly inform CapitalBox of any material change in information previously provided, including changes relating to:

  • Business address
  • Contact details
  • Ownership or management
  • Constitution or legal structure of the business
  • Financial information
  • Bank account details
  • Business activity
  • Tax or registration details
  • Project or funding requirements
  • Any other information relevant to the selected Service

Where required, the Customer shall provide updated Documents supporting such changes.

10.6 Customer Responsibility for Submitted Information

The Customer remains responsible for the accuracy, completeness, validity and authenticity of the information and Documents submitted by or on behalf of the Customer.

CapitalBox may rely on the information and Documents provided by the Customer for the purpose of delivering the agreed Services, preparing applications, coordinating with Third Parties or conducting preliminary assessments.

10.7 Verification and Due Diligence

CapitalBox may review Documents and information for administrative, documentation or service-related purposes. Where applicable, the relevant Third Party may independently conduct its own verification, due diligence, credit assessment, background checks or other review.

CapitalBox does not replace or control the independent verification process of a bank, NBFC, investor, government authority or other Third Party.

10.8 Consequences of Incorrect or Incomplete Information

Where information or Documents provided by the Customer are inaccurate, incomplete, outdated, invalid or misleading, the resulting Service or Application may be delayed, returned, suspended, rejected or otherwise affected.

Where legally permissible, CapitalBox shall not be responsible for an outcome arising directly from incorrect, incomplete, outdated or misleading information or Documents supplied by the Customer.

10.9 Customer Cooperation

The Customer shall reasonably cooperate with CapitalBox and relevant Third Parties throughout the applicable Service process and shall respond to requests for information, Documents, clarification or confirmation within the required timeframe.

D11Document Verification & Review

11.1 Receipt of Documents

CapitalBox may receive, collect or accept Documents from the Customer through applicable communication channels, online forms, email, digital platforms or other approved methods for the purpose of providing the selected Services.

Receipt of any Document by CapitalBox does not by itself confirm that the Document has been verified, accepted or approved by CapitalBox or any relevant Third Party.

11.2 Preliminary Review

CapitalBox may conduct a preliminary administrative review of Documents submitted by the Customer to assess whether the information appears relevant, readable, reasonably complete and suitable for the selected Service.

Such preliminary review may be carried out for documentation and facilitation purposes and shall not be considered a final legal, financial, tax, technical, credit, regulatory or institutional verification.

11.3 Identification of Missing Documents

During the preliminary review, CapitalBox may identify Documents or information that appear to be missing, incomplete, unclear, outdated or additionally required for the selected Service.

CapitalBox may communicate such requirements to the Customer and request additional or corrected Documents.

The Customer shall provide the required Documents within the applicable timeframe to avoid unnecessary delays in the Service or Application process.

11.4 Verification Limitations

CapitalBox's preliminary review may be limited to the information, Documents and supporting material provided by the Customer.

Unless expressly stated otherwise in writing, CapitalBox does not independently verify the authenticity, legal validity, financial accuracy, ownership, creditworthiness, tax position, technical accuracy or completeness of every Document submitted by the Customer.

A Document appearing complete or acceptable during a preliminary review does not mean that its authenticity or accuracy has been conclusively established.

11.5 Third-Party Verification

The relevant bank, NBFC, financial institution, government authority, investor, professional or other Third Party may independently verify the Documents and information submitted by the Customer.

Such verification may include background checks, credit checks, financial analysis, statutory verification, business verification, technical assessment, due diligence, field verification or other checks applicable to the relevant Service.

11.6 Additional Verification Requirements

A Third Party may request additional Documents, clarification, declarations, certifications, authorisations or updated information even after CapitalBox has completed its preliminary review.

The Customer shall comply with such additional requirements where the Customer wishes to continue with the relevant Application or Service.

11.7 No Confirmation of Approval

Completion of a preliminary document review by CapitalBox does not mean that the Customer is eligible for, or will receive, any loan, grant, investment, funding, registration, approval or other benefit.

Final acceptance and verification of Documents shall remain subject to the requirements and independent decision of the relevant authority, institution, investor or other Third Party, where applicable.

11.8 Customer Responsibility

The Customer remains responsible for ensuring that all Documents provided to CapitalBox are genuine, accurate, complete, valid and legally obtained.

CapitalBox may rely on information supplied by the Customer for the limited purpose of providing the agreed Services and facilitating the applicable process.

D12False, Misleading or Fraudulent Documents

12.1 Prohibition of False or Fraudulent Documents

The Customer shall not submit, upload, provide, create, alter, modify or knowingly use any forged, fabricated, counterfeit, fraudulent or otherwise unauthorised Document in connection with any Service or Application.

All Documents submitted to CapitalBox or any relevant Third Party must be genuine and lawfully obtained.

12.2 Prohibition of Incorrect Information

The Customer shall not knowingly provide false, inaccurate, incomplete, outdated or misleading information in any enquiry, form, Application, declaration, Document or communication submitted in connection with the Services.

The Customer shall take reasonable care to ensure that all information provided is accurate and current at the time of submission.

12.3 Misrepresentation

The Customer shall not knowingly misrepresent or conceal any material information relating to the Customer, business, ownership, financial position, business activity, credit history, liabilities, Documents, project, funding requirement or other matter relevant to the Service or Application.

Any material information that may affect the assessment or processing of an Application should be disclosed when reasonably required.

12.4 Verification and Reporting

Where CapitalBox has reasonable grounds to believe that information or Documents may be false, materially misleading, altered, fabricated or otherwise improper, CapitalBox may request clarification, supporting Documents or verification from the Customer.

Where applicable, CapitalBox may also refer or communicate the matter to the relevant Third Party or competent authority in accordance with Applicable Law and its legitimate business or compliance requirements.

12.5 Right to Suspend or Terminate

If a Customer provides or attempts to provide false, fraudulent, forged or materially misleading information or Documents, CapitalBox may, subject to Applicable Law and the applicable service terms:

  • Suspend the relevant Service or Application;
  • Place the Application on hold;
  • Decline to proceed with the relevant Service;
  • Terminate the applicable engagement or Service;
  • Restrict further processing of the Application; or
  • Take other appropriate action available under the applicable agreement or law.

12.6 Effect on Third-Party Applications

Where false, misleading or fraudulent information or Documents have been submitted to a bank, NBFC, investor, government authority or other Third Party, the relevant Third Party may independently take action in accordance with its own policies, agreements and Applicable Law.

Such action may include rejection, suspension, cancellation, further verification or other measures determined by the relevant Third Party.

12.7 Customer Responsibility

The Customer remains solely responsible for the authenticity, accuracy and legality of information and Documents submitted by the Customer or by any person acting on the Customer's behalf.

CapitalBox's receipt, preliminary review or processing of a Document shall not be interpreted as confirmation that the Document is authentic or legally valid.

12.8 No Assistance in Misrepresentation

CapitalBox shall not be required to prepare, modify, submit or facilitate any information or Document that it reasonably believes is false, fraudulent, materially misleading or intended to improperly influence an Application or decision of a Third Party.

D13Customer Responsibilities

13.1 Providing Correct Information

The Customer shall provide accurate, complete, genuine, current and non-misleading information to CapitalBox in connection with any enquiry, Application, Service or engagement.

The Customer shall carefully review the information provided before submission and shall promptly notify CapitalBox if any information requires correction or updating.

13.2 Timely Response

The Customer shall respond within a reasonable or specified timeframe to requests, communications, Documents, clarifications, confirmations or other information required for the applicable Service.

Failure to respond within the required timeframe may result in delays in processing or may affect the continuation of the Service or Application.

13.3 Communication Through Calls, Email and WhatsApp

The Customer may be contacted through available communication channels, including telephone calls, email, WhatsApp or other authorised communication methods, for service-related communication.

The Customer is responsible for maintaining active and accessible contact details and for reasonably responding to service-related communications.

Where the Customer changes their mobile number, email address or other contact details, the Customer shall promptly inform CapitalBox.

13.4 Providing Required Documents

The Customer shall provide all Documents, information, declarations, authorisations and supporting material reasonably required for the selected Service within the applicable timeframe.

Documents should be clear, valid, genuine, complete and suitable for the relevant purpose.

13.5 Cooperation with Third-Party Communication

Where a Service involves a bank, NBFC, financial institution, government authority, investor, professional or other Third Party, the Customer shall reasonably cooperate with communications, verification requests, meetings, calls, document requirements and other procedures required by the relevant Third Party.

The Customer may be required to communicate directly with the relevant Third Party where necessary for verification, due diligence, approval, execution or completion of the applicable process.

13.6 Review of Final Submitted Information

Before any Application, form, proposal, declaration, Document or other information is finally submitted to a Third Party, the Customer should carefully review the information and confirm that it is accurate, complete and appropriate for submission.

Where the Customer provides approval, confirmation or authorisation for submission, the Customer remains responsible for the accuracy of the information provided or confirmed by the Customer.

13.7 Responsibility for Changes

The Customer shall promptly notify CapitalBox of any material change in information previously provided, including changes in business details, ownership, financial information, contact details, funding requirements, Documents or other information relevant to the Service.

13.8 Cooperation During the Service

The Customer shall reasonably cooperate with CapitalBox throughout the applicable Service process and shall complete actions that are required from the Customer for the Service to proceed.

CapitalBox may not be able to complete or continue a Service where required Customer information, Documents, confirmations, approvals or cooperation are not provided.

13.9 Responsibility for Customer-Side Delays

Where delays arise because the Customer has not provided required information, Documents, confirmations, responses or cooperation within the applicable timeframe, the resulting delay may affect the processing timeline of the Service or Application.

Any timeline communicated by CapitalBox may therefore be subject to timely cooperation and completion of Customer-side requirements.

13.10 No Misrepresentation

The Customer shall not knowingly provide false, fraudulent, fabricated or materially misleading information or Documents to CapitalBox or any Third Party in connection with the Services.

The Customer shall remain responsible for information submitted by any person acting on the Customer's behalf.

D14Application Submission & Processing

14.1 Application Preparation

Depending on the selected Service, CapitalBox may assist the Customer in preparing an Application, form, proposal, funding request or other submission based on the information and Documents provided by the Customer.

The Customer shall review the information and Documents before final submission and shall provide any required confirmation or authorisation.

14.2 Document Submission

The Customer may be required to submit Documents and supporting information through CapitalBox or directly to the relevant Third Party, depending on the applicable process.

Documents may be submitted through email, online forms, digital platforms, portals, physical copies or other approved communication channels.

CapitalBox may also assist with communication and coordination during the applicable Application process.

14.4 Application Status

CapitalBox may provide Customers with available updates regarding the status of an Application based on information received from the relevant Third Party.

Application status information may include stages such as submitted, under review, additional information required, under process, approved, rejected, on hold or closed, where such status information is provided by the relevant Third Party.

CapitalBox does not control the internal processing systems, timelines or status decisions of Third Parties.

14.5 Additional Requirements

The relevant Third Party may request additional Documents, information, clarification, declarations, verification, meetings or other requirements at any stage of the Application process.

The Customer shall reasonably cooperate and provide the required information or Documents within the applicable timeframe if the Customer wishes to continue with the Application.

14.6 Re-Submission Where Required

Where an Application requires correction, modification, additional information or re-submission, CapitalBox may assist with such re-submission where it falls within the agreed scope of Services.

Re-submission may be subject to additional requirements, updated Documents, applicable timelines, Third-Party procedures or additional Service Fees where separately communicated.

14.7 Changes During Processing

The information, Documents, eligibility criteria, requirements or terms applicable to an Application may change during the processing period.

The Customer may be required to provide updated information or Documents where requested by CapitalBox or the relevant Third Party.

14.8 Processing Timelines

Any processing timeline communicated by CapitalBox is indicative unless a specific written timeline is expressly agreed.

Actual processing may depend on the Customer's timely cooperation and the procedures, workload, verification, internal policies and response time of the relevant Third Party.

14.9 No Control Over Third-Party Processing

CapitalBox may facilitate or coordinate an Application but does not control the internal processing, review, approval, rejection, sanction, investment decision, grant decision or disbursement process of any Third Party.

14.10 Final Submission Responsibility

The Customer shall remain responsible for reviewing and confirming the accuracy of information and Documents submitted on the Customer's behalf, particularly where the Customer has been provided an opportunity to review or confirm the same before submission.

D15Processing Timeline

15.1 Indicative Timelines

CapitalBox may communicate estimated or indicative timelines for certain Services based on the information, Documents and process requirements known at the relevant time.

Such timelines are provided for general guidance only and should not be treated as a fixed commitment unless a specific timeline has been expressly agreed in writing.

15.2 Third-Party Delays

Where a Service involves a bank, NBFC, financial institution, government authority, investor, professional or other Third Party, the overall processing timeline may depend on the response time, workload, internal procedures and requirements of that Third Party.

CapitalBox does not control the internal processing timelines of independent Third Parties.

15.3 Government or Authority Delays

Applications involving government departments, government scheme authorities, statutory authorities or other public institutions may be subject to their respective processing procedures, verification requirements, administrative timelines and workload.

Any delay caused by such authority may affect the overall timeline of the relevant Service or Application.

15.4 Bank / NBFC Delays

Loan, credit facility or other financial applications involving banks or NBFCs may require credit assessment, verification, internal review, field verification, documentation checks, approval processes and other procedures determined by the relevant institution.

Accordingly, processing timelines may vary from one institution or Application to another.

15.5 Document-Related Delays

Processing may be delayed where the Customer does not provide required Documents or information within the requested timeframe, or where submitted Documents are incomplete, unclear, outdated, inconsistent or require correction or additional verification.

The Customer's timely cooperation may therefore be necessary for the Service or Application to proceed.

15.6 Additional Requirements and Re-Submission

If additional Documents, clarifications, corrections, declarations or re-submission are required during processing, the applicable timeline may be extended depending on the time required to provide and review the additional requirements.

15.7 Changes in Processing Requirements

Processing requirements and timelines may change due to changes in applicable laws, regulations, government schemes, institutional policies, funding availability, internal procedures or other circumstances outside CapitalBox's reasonable control.

15.8 No Guaranteed Completion Date

Unless expressly agreed otherwise in a written service agreement, CapitalBox does not guarantee completion of any Application, approval, sanction, grant, investment, funding or disbursement by a particular date.

Any date or timeline communicated by CapitalBox should be understood as an indicative estimate based on the information available at that time.

15.9 Customer Cooperation

The Customer shall promptly provide requested information, Documents, confirmations and responses to minimise avoidable delays.

Where a delay is caused by missing Customer information, Documents, approvals or responses, the applicable processing timeline may be extended accordingly.

D16Service Fees & Charges

16.1 Applicable Service Fees

CapitalBox may charge fees for the Services selected by the Customer. The applicable fee may depend on the nature, scope, complexity and duration of the Service.

16.2 Consultation Fees

Consultation Services may be provided against a specified consultation fee communicated to the Customer before or at the time of booking or confirmation.

16.3 Documentation Fees

Where applicable, CapitalBox may charge documentation or document-preparation fees for preparing, compiling, reviewing or coordinating business documents, proposals, applications, reports or other materials.

16.4 Activation / Service Fees

Certain Services may require an activation, onboarding, service initiation or processing fee before the Service is commenced.

16.5 Facilitation Fees

CapitalBox may charge applicable facilitation or coordination fees for Services involving application support, coordination, referrals, introductions or other agreed facilitation activities.

If a Customer receives suspicious payment instructions, the Customer should verify the payment details with CapitalBox through its official communication channels before making payment.

Where payment is a condition for commencement, the Service process may begin after successful payment confirmation.

Depending on the Service, CapitalBox may require receipt of specified Documents and information before commencing substantive work.

Service activation may occur after completion of the applicable payment, documentation, verification and onboarding requirements.

18.4 Conditions Before Commencement

22.5 Application Updates

CapitalBox may communicate available Application status updates based on information received from the relevant Third Party.

22.6 Document Reminders

CapitalBox may send reminders regarding pending, incomplete, expired or additional Documents required for the Service or Application.

22.7 Service Notifications

Customers may receive notifications relating to payments, Service status, documentation, meetings, applications, deadlines or other Service-related matters.

Upon termination, the applicable treatment of pending work, outstanding payments, Documents, refunds and other obligations shall be determined according to the applicable Service terms, agreement and Refund & Cancellation Policy.

Completed work, accrued payment obligations, confidentiality, intellectual property, limitation of liability, indemnification, dispute resolution and other provisions intended to survive termination shall continue where applicable.

D43Indemnification

To the extent permitted by Applicable Law, the Customer may be responsible for losses, claims, liabilities, costs or expenses arising from the Customer's:

  • Fraudulent or unlawful conduct;
  • Submission of false or misleading information;
  • Submission of forged or unauthorised Documents;
  • Misuse of CapitalBox Services;
  • Violation of these Terms;
  • Violation of Applicable Law; or
  • Actions causing claims by a Third Party.

This provision shall apply subject to applicable legal requirements.

D44Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable in the Republic of India, subject to Applicable Law and the jurisdiction provisions stated below.
